Sivers Semiconductors heads into its annual general meeting on June 15 with a dual-pronged incentive strategy aimed at both employees and board members, even as the stock digests a sharp correction following a stunning run. The Swedish chipmaker's shares, which have surged more than 1,057% since the start of the year, recently tumbled about 14% to 48.10 SEK after the company restated its annual accounts under stricter U.S. reporting standards, widening its net loss.

The management is asking shareholders to approve the "P11" long-term incentive program, which authorizes the issuance of up to seven million stock options for employees. The options carry a three-year vesting period, during which staff must remain with the company, and an exercise price set 10% above the average closing price on the grant date. To hedge the program, the board also seeks authority to issue up to seven million C shares with a par value of 0.50 Swedish kronor, which a bank will subscribe to before the company buys them back and converts them into common stock. The resulting dilution is estimated at roughly 2%.

Alongside the employee plan, the board is proposing a stock-based compensation package for directors worth 1 million SEK per member. This would come on top of fixed annual fees set at 1,050,000 SEK for the chair, 600,000 SEK for the vice chair, and 350,000 SEK for each ordinary member. The five-person board structure, which the company recommends keeping unchanged, is typical for a smaller semiconductor player where agility is prized.

The AGM will be held in Stockholm at Setterwalls Advokatbyrå starting at 16:00. The current capital base stands at 319,953,572 shares, representing 306,634,633.1 votes.

The timing of the meeting is delicate. Sivers shares have experienced extreme volatility: after a 1,057.92% year-to-date rally, profit-taking sent the stock down 13.64% in recent sessions. The correction was exacerbated by the release of adjusted financials that deepened losses due to the adoption of more rigorous U.S. accounting rules—a necessary step as the company pushes toward a secondary listing on a U.S. exchange.

Behind the accounting noise, Sivers' core technology remains a draw. The company manufactures indium phosphide lasers for optical networks, components that help eliminate bandwidth bottlenecks in AI infrastructure by replacing traditional copper cabling while cutting power consumption. Management has also postponed the first-quarter report to May 29, adding another milestone for investors to watch.

With the AGM set for June 15, shareholders will not only vote on the incentive programs but also on the broader direction of a company attempting to balance sky-high market expectations with the operational discipline needed for a transatlantic listing. The twin stock plans signal that Sivers is determined to lock in talent and align board interests with long-term value creation—even as the stock's wild ride tests the patience of retail and institutional holders alike.
