Sivers Semiconductors has delivered a textbook lesson in volatility this week. The stock surged 18 percent on Friday to close at €5.20, only to see those gains erased on Monday with an equally sharp 18 percent slide to €4.26. The whipsaw action reflects a deep schism between the company’s aggressive capital-raising strategy and a management team scrambling to restore investor confidence by locking themselves into their own shares.

At the heart of the sell-off is an accelerating dilution cycle. The Swedish chipmaker ended June with roughly 320 million shares outstanding. Within days, two major capital moves had swollen that count past 355 million — an 11 percent increase in a single week. The first was a share placement that pulled in around 700 million Swedish kronor (SEK). The second converted an existing loan from creditor Bootstrap Europe directly into equity, triggering the issuance of nearly 23 million new shares. Now a third capital drive is underway: an accelerated placement targeting an additional 600 million SEK, with existing shareholders locked out of the deal.

Management is fighting back with a public show of alignment. CEO Vickram Vathulya, CFO Heine Thorsgaard, and other top executives have pledged not to sell any of their personal holdings until July 16, 2026. The lock-up applies to board members as well, following a governance reshuffle in which Bami Bastani retained his chairmanship and Joakim Nideborn was appointed deputy. Vathulya has defended the recent fundraisings as evidence of strong institutional demand, pointing to the oversubscription of the initial placement.

The operational picture offers reasons for both caution and optimism. First-quarter revenue fell 22 percent to approximately 62 million SEK, a disappointing top-line performance. The company’s strategic focus on artificial intelligence, satellite communications, and defense continues to underpin its long-term narrative.

None of this has silenced the doubters. Short sellers have been vocal with allegations against Sivers, and its auditors recently flagged going-concern uncertainties. The stock has now lost more than half its value since the June high of €10.23, with annualized volatility running at an extreme 213 to 219 percent. All eyes turn to August 6, when second-quarter results are due. Vathulya must use hard numbers to refute the bearish case; without concrete evidence of operating momentum, the dilution cycle will keep the shares under relentless pressure.
