A single session on the Nasdaq Stockholm catapulted Sivers Semiconductors shares by 47 percent on Monday, closing at SEK 55.95 and pushing the company’s market value to roughly SEK 16.6 billion. The move extends a staggering rally that has already seen the stock surge more than 1,200 percent since the start of the year — a run that has left some investors both exhilarated and wary.

The catalyst for this latest leg higher is a dual-track strategy: a planned secondary listing on the Nasdaq New York and an extraordinary general meeting scheduled for May 11, where shareholders will vote on a directed share issue. The company is seeking to raise SEK 125 million by issuing 8.62 million new shares at a price of SEK 14.50 each — a steep discount to the current market price. If approved, the dilution would amount to approximately 2.5 percent on a fully diluted basis. Proceeds are earmarked for photonics technology targeting AI data centers and LiDAR, as well as millimeter-wave solutions for SATCOM, 5G, and defense applications.

Nasdaq Ambitions Force Accounting Overhaul

The US listing, first announced on April 16, is the true engine of the rally. Sivers intends to pursue a secondary listing in New York while keeping its Swedish domicile intact. But the move comes with strings attached: the company must have its financial statements audited under PCAOB standards, the US benchmark for publicly traded companies. That requirement has delayed the release of the annual report and pushed the ordinary general meeting back to June 15.

Auditors are currently restating the past two years of accounts to align with US rules. Sivers expects some shifts in revenue recognition and inventory valuation but insists these adjustments will not have a material impact on its financial position. The annual report is now due in mid-May, with the first-quarter 2026 update following shortly after. Investors will be watching closely — the stock trades at more than 31 times trailing revenue, compared with a European semiconductor sector average of roughly 4 times and a peer group multiple of around 17 times.

Should investors sell immediately? Or is it worth buying Sivers Semiconductors?

Jabil Partnership and Competitive Pressure

Beyond the financial engineering, Sivers is making operational strides. The company is collaborating with US manufacturing giant Jabil to develop an optical high-speed transceiver based on Sivers’ lasers — a concrete push into the AI data center market. The opportunity is enormous, but so is the competition. Nvidia announced in March that it would invest $2 billion each in photonics specialists Lumentum and Coherent, underscoring the scale of capital flowing into optical interconnect technology and the intensity of the race Sivers faces.

Regulatory Probe Casts a Shadow

Not everything is running smoothly. Sweden’s Economic Crime Authority has opened an investigation into whether confidential information leaked ahead of the official Nasdaq listing announcement in April. A prosecutor is examining the suspicion that sensitive details reached the public before the company’s formal disclosure. The probe adds an element of legal uncertainty to an already volatile narrative.

What’s Next

The coming weeks will be pivotal. Shareholders must register by Tuesday to vote at the May 11 extraordinary meeting. If the capital increase is approved, attention will shift to the mid-May annual report — the first financial statement audited under US standards — followed by the first-quarter results on May 20. The ordinary general meeting on June 15 will then provide a forum for broader strategic questions.

Sivers Semiconductors at a turning point? This analysis reveals what investors need to know now.

For now, the market is betting that Sivers can navigate the regulatory hurdles, secure the funding, and make good on its US ambitions. But with a valuation that leaves little room for error and a watchdog sniffing around, the rally may be as much a test of nerve as it is of technology.
