Sivers Semiconductors: Production Deal and AI Partnership Drive Pipeline Surge, but Insider Probe Casts Shadow on Rally

Yet beneath the surface, the Swedish photonics specialist is navigating a volatile mix of boardroom upheaval, an insider-trading investigation, and a short-seller attack. On Tuesday, following Monday’s annual general meeting, shares climbed another 6.45% to €8.83, extending their monthly gain to more than 100%.
The AGM delivered sweeping changes to the board. Bami Bastani remains chairman, but the lineup now includes Joakim Nideborn as deputy chairman and Helena Svancar as a new board member, alongside returning members Karin Raj and Todd Thomson. Compensation was reset: the chairman will receive SEK 1.05 million annually, the deputy SEK 600,000, and ordinary members SEK 350,000. Each also gets an equity-linked incentive worth SEK 1 million, half of which will be granted in shares subject to a one-year holding period.
Three employee bonus schemes (agenda points 14–16) were pulled at the last minute. Management said the newly composed board should first develop its own vision for staff incentives; a revised proposal is expected at a future shareholder meeting.
Shareholders also approved a crucial capital measure: the board was authorized to issue up to 53.8 million new shares, representing roughly 15% dilution. Proceeds are earmarked for artificial intelligence investments and potential acquisitions, and the move clears the path for a dual listing on the Nasdaq in the United States. In addition, the AGM ratified a secured convertible note of approximately $327,000 issued to Bootstrap Europe, bearing 10.85% interest and maturing at the end of 2029.

The equity injection comes as the company’s commercial pipeline swells. Since the start of the year, the sales opportunity funnel has jumped 77% to $799 million. A tangible proof point: UK satellite builder ALL.SPACE placed an $8.2 million order for chips, marking Sivers’ first transition from development into series production. Deliveries will run through 2027. Another growth catalyst is the partnership with GlobalFoundries to integrate Sivers’ laser arrays into a platform for AI chips. Management projects meaningful revenue from this multi-billion-dollar market by late 2026.
Yet the operational picture remains mixed. For fiscal 2025, net loss swelled to SEK 222.6 million after a forced restatement to US accounting standards. Revenue in the first quarter of 2026 fell 22% year-on-year to SEK 61.9 million, a decline blamed on delays in the U.S. defense budget. No dividend will be paid for 2025, and Deloitte AB continues as auditor.
The stock’s meteoric rise has unfolded against a backdrop of governance concerns. Swedish prosecutors are investigating possible insider trading, and a short seller has challenged the company’s revenue recognition practices. Three board members stepped down ahead of the AGM, adding to the sense of turbulence. Technically, the shares now trade about 81% above their 50-day moving average of €4.88, with an RSI of 62.6 — elevated but not yet in overbought territory. Annualised volatility exceeds 240%, underscoring extreme price swings.
