Sivers Semiconductors enters one of its most consequential trading days on Friday with a cocktail of catalysts and risks: a delayed quarterly report, inclusion in the MSCI Sweden Small-Cap index, and a stock that has more than doubled in recent sessions — all while a formal insider-trading investigation hangs over the company.

The share price touched a fresh 52-week high of 89.45 SEK on Monday before closing at 87.70 SEK, capping a two-day surge of roughly 50%. Recent trading has settled between 84 and 85 SEK. The rally was partly fueled by a US Department of Defense grant of $6.6 million under the CHIPS Act for the second year of the EW STAR project. But it is the upcoming index inclusion that has added an extra layer of speculative demand, since index-tracking funds will be forced to buy the stock when the MSCI Sweden Small-Cap change takes effect after Friday's close.

Insider probe casts a legal shadow

The excitement has been tempered by a Swedish Economic Crime Authority investigation into possible insider trading. The probe centers on whether information about the planned Nasdaq dual listing leaked roughly 48 hours before the official announcement. No charges have been filed, and the company has not commented substantively on the allegations, but the regulatory scrutiny creates an awkward backdrop for a stock that is trading well above any fundamental anchor.

That anchor is exceptionally low. Analysts have a median price target of just 6.55 SEK, meaning the current share price trades at more than thirteen times that level. The price-to-sales ratio stands at 59.69, a valuation that the restated financials make even harder to justify.

Should investors sell immediately? Or is it worth buying Sivers Semiconductors?

Restated books deepen the losses

The company recently revised its accounts for both 2024 and 2025. For 2025, the net loss was increased from the originally reported 186.5 million SEK to 222.6 million SEK, while the EBIT loss now stands at 177.8 million SEK. For 2024, revenue was cut from 243.7 million SEK to 219.2 million SEK, and the net loss widened to 183.9 million SEK. The corrections have raised questions about internal controls just as management seeks to list in New York.

Fresh capital at a fraction of today's price

A capital raising completed shortly before the surge placed 8.62 million new shares at 14.50 SEK each, netting the company approximately 125 million SEK. The chasm between that issue price and the current market price — over six times higher — illustrates how rapidly sentiment has shifted. It also highlights the dilution already baked into the share count ahead of any additional option-based pay.

What to watch on Friday and beyond

Friday's Q1 2026 earnings release, originally scheduled for May 20 but now set for May 29, will be the first test of whether the Pentagon award has begun to flow through to the revenue line or the outlook. That evening, MSCI inclusion will mechanically boost demand. Two weeks later, on June 15, the annual general meeting will see shareholders vote on board nominees Joakim Nideborn and Helena Svancar, as well as a new stock option program covering 7 million options that could dilute existing holders by roughly 2%.

Sivers Semiconductors at a turning point? This analysis reveals what investors need to know now.

For a stock that has already priced in so much optimism, Friday represents a moment of truth — one where earnings reality, index mechanics, and regulatory risk converge on a single trading day.
