Mining giant Barrick Gold is evaluating a major corporate restructuring that would see its premium North American gold assets spun off into a separate, publicly traded entity. The strategic rationale is to offer investors distinct choices: a stable, dividend-focused gold producer versus a growth-oriented international copper business. However, a dispute with joint-venture partner Newmont Corporation threatens to delay the entire initiative.

A Clear-Cut Division: Stability Versus Growth

Under the proposed plan, a new company—currently referred to as "NewCo"—would be created to house Barrick's core North American gold operations. These assets include its 61.5% stake in the Nevada Gold Mines (NGM) joint venture, its 60% interest in the Pueblo Viejo mine in the Dominican Republic, and the Fourmile development project in Nevada. The objective is to position NewCo as a lower-risk gold producer with reliable cash flows and returns.

Following the separation, the remaining Barrick entity would sharpen its focus on international expansion, with copper taking center stage. Key projects driving this growth strategy are the "Super Pit" expansion at the Lumwana mine in Zambia and the massive Reko Diq development in Pakistan. Copper, deemed a critical metal for the global energy transition, represents Barrick's primary avenue for aggressive future expansion.

Joint-Venture Dispute Poses a Significant Hurdle

The timeline for NewCo's initial public offering remains uncertain due to an ongoing conflict. Newmont, Barrick's partner in the Nevada Gold Mines venture, issued a formal notice of dispute in February 2026, alleging "mismanagement" and "resource diversion." This action was prompted by declining production figures at certain NGM sites towards the end of 2025, which Newmont contends violates the partners' agreements. The proposed spin-off cannot proceed until this conflict is resolved.
