The stock may be nursing a 44% decline from its April peak, but Redwood AI Corp. is moving aggressively on two fronts at once. Just days after securing electronic clearing for its shares in the US, the Vancouver-based company has signed a non-binding letter of intent to acquire Quantum.IQ, a post-quantum cryptography specialist also based in Vancouver. The deal would be paid entirely in shares — up to 14 million of them — and marks a sharp strategic pivot from AI-driven chemistry into cybersecurity.

Under the terms announced May 28, 2026, Quantum.IQ would receive an initial tranche of 7 million newly issued Redwood common shares at closing, with another 7 million held back pending the achievement of undisclosed milestones. All shares are subject to multi-tiered escrow conditions. Completion hinges on Canadian Securities Exchange approval, satisfactory due diligence, and final contract negotiations — and is not guaranteed.

Quantum.IQ has built a platform that audits existing encryption systems for vulnerability to future quantum-computer attacks. It scans certificates, TLS configurations, APIs, and source code to identify weak points, then maps out migration paths toward quantum-resistant encryption. The client list includes government agencies, defence organisations, banks and critical infrastructure operators — a market that is rapidly waking up to the threat of quantum decryption.

The acquisition news came just two days after Redwood achieved a milestone of a different kind. On May 26, the Depository Trust Company approved the company’s common shares for electronic clearing and settlement, opening the door for US brokerages to handle the stock more easily. To amplify that push, Redwood hired the InvestorBrandNetwork (IBN) for a four-month investor relations campaign ending September 2026. The contract is worth US$114,000 in cash — no shares are being issued. CEO Louis Dron said the DTC clearance would “improve access for US investors and brokerages through more efficient electronic clearing.”

May has been a busy month by any measure. Redwood’s subsidiary, Redwood AI Operations Inc., secured a grant of up to C$240,000 from the National Research Council of Canada for the Q-SAFE project, which combines AI-driven chemical analysis with quantum optimisation to detect hazardous substances in defence, pharmaceutical development and emergency management. The company was also named one of British Columbia’s 25 most investment-worthy enterprises at the Innovate BC Investor Showcase on May 11. And on the product side, Redwood expanded its Reactosphere chemistry platform with a new optimisation module that bundles Bayesian optimisation, design of experiments and sampling planning into a single system.

Yet the stock has been under relentless pressure. After hitting a 52-week high of €6.66 on April 28, the shares have lost roughly 44% of their value, including a single-session plunge of nearly 17%. Even so, they remain about 23% higher year to date.

The juxtaposition is striking: a company broadening its portfolio into post-quantum cryptography and clearing a path for US institutional buying, all while the market marks down its existing business. The strategic logic of moving from AI chemistry into quantum security may become clearer once due diligence is complete. Until then, the letter of intent remains what it is — non-binding — and the true test of these May moves will be whether they can shift the narrative from price action to fundamentals.
