Ams Osram’s Radical Restructuring Nears a Pivotal Test at Premstätten AGM
29.05.2026 - 15:44:21 | boerse-global.de
The countdown is on for Ams Osram’s annual general meeting, scheduled for June 10 in Premstätten. The May 29 record date for shareholder proposals has just passed, but the governance formalities belie a company deep in transformation. Behind the scenes, the sensor and photonics group is reshaping its balance sheet with a €1 billion bond, two major asset disposals, and a renewed bet on AI-driven photonics. Whether the shares can sustain a 162% year-to-date rally depends on execution of those moves and the trajectory of free cash flow.
Refinancing Takes Centre Stage
The most consequential move is the placement of a €1 billion note carrying a 7.25% coupon and maturing in May 2032. Proceeds will retire more expensive outstanding bonds, trimming annual interest costs by roughly €40 million once the closing occurs around June 1. That saving is critical as Ams Osram works to lower net debt from €3.3 billion toward €2.5 billion following the Infineon transaction.
Asset sales provide the firepower. The non-optical sensors business is being sold to Infineon for €570 million, with completion expected around mid-2026. Separately, the CMOS image sensor unit went to indie Semiconductor for €40 million in cash. Combined, disposals have fetched close to €700 million, giving management breathing room to focus on core growth areas.
Q1 Numbers Beat the Midpoint
First-quarter results illustrated the operational progress. Revenue hit €796 million, while adjusted EBITDA margin came in at 16.5% — the top end of guidance. Free cash flow swung decisively positive to €37 million, compared with a negative €28 million a year earlier. For the full year, management forecasts free cash flow north of €300 million.
Should investors sell immediately? Or is it worth buying Ams Osram?
The portfolio refresh is already visible: core semiconductor revenue grew 9% on a currency-adjusted basis year on year. Annual cost savings of over €200 million have been locked in, and the leverage ratio is now comfortably below 2.6 times. Analysts note that the return from the trough exceeds 400%, making the turnaround measurable.
AI Photonics and AR Glasses Drive the Narrative
Proceeds from divestments are being channelled into two high-conviction areas: artificial intelligence photonics and augmented reality smart glasses. Ams Osram has secured a development agreement with a leading partner for AI photonics solutions targeting data centres — a deal that could anchor the company as a key supplier in the booming AI infrastructure market.
That growth pillar explains why the market has priced in so much of the revival already. The stock trades around €22.30-€22.40, still 14.5% below its 52-week high of €26.10. With year-to-date gains of 162-163%, some voices warn that the valuation above CHF 23 (roughly equivalent in euros) leaves little room for error. The annualised 30-day volatility stands at a lofty 116.76%, although the relative strength index of 51 suggests no immediate overheating.

Second-Quarter Outlook and Key Catalysts
Looking ahead, the second-quarter revenue forecast ranges from €725 million to €825 million, with adjusted EBITDA margin around 15.5%. The coming weeks will test whether the AI photonics partnership begins to translate into tangible revenue. Meanwhile, the Infineon sale and the refinancing closing are the two operational milestones that will determine how quickly Ams Osram can achieve its goal of sustained positive free cash flow from 2027 onwards.
For now, the AGM on June 10 provides a platform for shareholders to weigh the governance changes against the financial turnaround. The agenda includes ratification of the 2025 accounts, election of the auditor, and approval of the supervisory board nominees — routine items, but set against the most aggressive balance-sheet overhaul the company has undertaken.
