Crucially, he indicated that the existing all-share offer of 0.485 UniCredit shares for each Commerzbank share—a bid that values the Frankfurt-based institution at approximately €35 billion—is open for discussion should talks commence.
This prospect of a potentially improved bid is providing support to Commerzbank's market valuation. The lender's shares closed at €32.59 yesterday, registering a notable weekly gain of 7.66 percent. Market observers interpret UniCredit's newfound flexibility as a tactical effort to increase pressure on Commerzbank's board without immediately triggering a hostile and aggressive public takeover battle.
A Defined Timeline for Resolution
However, the Italian banking giant is not planning an indefinite waiting game. Orcel has set a target of achieving final clarity on the acquisition efforts by June 2026. UniCredit currently controls just under 30 percent of Commerzbank's shares and aims to formally cross this threshold with its official offer. Should the Frankfurt management continue to refuse any form of cooperation, the UniCredit CEO has not categorically ruled out pursuing a hostile takeover path.
