SoftBank Group Corp. is currently managing a confluence of significant financial and strategic events. The Japanese conglomerate is launching a substantial new bond, has executed a major investment tranche into OpenAI, and is celebrating the successful public listing of its payments subsidiary, PayPay.

A Landmark Investment in Artificial Intelligence

A central development is SoftBank's aggressive capital allocation toward artificial intelligence. On April 1, the first installment of a planned $30 billion commitment flowed from the SoftBank Vision Fund 2 to OpenAI. This initial $10 billion was facilitated through a bridge financing facility of an equivalent amount. The investment schedule outlines two further $10 billion tranches, slated for July 1 and October 1, 2026, solidifying one of the largest private bets on AI development.

This strategic push coincides with a notable exit. PayPay, the Japanese mobile payment application, completed its initial public offering on the Nasdaq. The company raised $880 million, with its American Depositary Receipts climbing 14% on their first trading day to $18.16, well above the $16 offer price. This debut values PayPay at $12.1 billion. SoftBank Group, together with its telecommunications subsidiary SoftBank Corp., retains a majority stake in the newly public fintech firm.

Targeting Retail Investors with a Hybrid Bond

In a parallel move to manage its capital structure, SoftBank is preparing to issue a new hybrid bond aimed at domestic retail investors in Japan. The 8th Series bond, with a minimum application amount of 1 million yen per unit, is structured as a subordinated, unsecured instrument featuring optional interest deferral rights. These characteristics give the debt security equity-like qualities, leading rating agencies to partially treat such instruments as equity—a crucial consideration for a group with substantial leverage.

Proceeds from the offering are intended to redeem liabilities coming due before the first call date in June 2026. The final terms, including the coupon rate, will be set on April 10. The subscription period runs from April 13 to 21, with formal issuance scheduled for April 22.

The bond incorporates a step-up interest structure: the coupon rate will increase by 25 basis points five years after issuance, by a further 5 basis points after 20 years, and by another 70 basis points after 25 years.

Institutional Sentiment and Upcoming Financial Disclosures

Amid these expansive activities, one institutional investor has taken a contrasting position. The Hennessy Japan Fund significantly reduced its holding in SoftBank Group by 470,800 shares as of March 31, a decrease of 41.34%. The fund's average purchase price during the first quarter was recorded at 4,548.57 yen per share.
