Shareholder and Regulatory Approval Pending

The execution of this strategic reversal remains contingent upon receiving the necessary approvals from shareholders and the relevant regulatory bodies. Once these consents are secured, the company will terminate its existing research initiatives and establish itself as a pure-play exploration entity within Ghana's gold sector.

A Transaction Enabled by Financing

A crucial financial milestone has been achieved to facilitate the merger. GoldCoast Resource Corp has successfully closed the initial portion of a private placement, raising approximately $5.8 million. This involved the issuance of more than 6.8 million shares at a price of $0.85 each. This capital injection was a key prerequisite for the proposed combination of the two firms. Additional funding rounds at the same share price are expected in the coming weeks to finance exploration programs and provide working capital.

From Life Sciences to Natural Resources

Upon completion of the transaction, the company's operational focus will undergo a radical shift. Psyence's historical specialization in psilocybin product research will be entirely replaced by a new primary objective: gold exploration off the coast of Ghana. This move represents a total strategic realignment, transitioning the business from the life science sector into the natural resources industry.
