Private equity firm Mutares is navigating a critical juncture, using a fresh capital injection to simultaneously chase growth in North America and shore up its financial foundations. The ongoing rights offering, which allows existing shareholders to purchase new shares, comes as several key portfolio companies report a surge in orders, providing a tangible backdrop for the firm's strategic ambitions.

The capital increase serves a dual purpose. Approximately 80 percent of the proceeds are earmarked for accelerating the company's expansion into the United States, a market management views as ripe for scaling its existing investment platforms. However, a significant 20 percent slice is allocated to general balance sheet strengthening, a defensive move to preempt a potential breach of loan covenants related to its net debt-to-equity ratio. This risk emerged from preliminary 2025 figures, influenced by fewer equity-effective transactions in the final quarter and rising lease liabilities.

Financing the US push appears well-supported by operational momentum within the portfolio, particularly in the Energy, Defense & Infrastructure segment. Subsidiary Efacec stands out, with management forecasting an EBITDA between 40 and 50 million euros for 2026 and boasting an order pipeline of around 1.5 billion euros. Fellow portfolio company NEM Energy has also secured new orders worth 500 million euros in the early months of this year. Adding to this, Magirus contributes nearly one billion euros to the group's order backlog through its new Defense & Security division.

Should investors sell immediately? Or is it worth buying Mutares?

The institutional portion of the capital raise, a private placement of over one million shares at 24.50 euros each, was met with strong international demand. The order book was nearly three times oversubscribed, with over 60 percent of interest coming from investors in the United States and Great Britain. Currently trading at 25.55 euros, the stock sits slightly above this placement price, though it saw a modest daily decline of 2.29 percent.

Analysts are adjusting their models to account for the increased share count. Sphene Capital, for instance, has lowered its price target from 58.30 euros to 48.40 euros while maintaining its buy recommendation. This still implies substantial upside from recent levels, even as the share price reflects some investor caution, down roughly 12.5 percent year-to-date.

Parallel to the fundraising, Mutares continues to manage its portfolio actively. An irrevocable takeover offer from the current management team is on the table for Peugeot Motocycles, a company with annual revenues of approximately 140 million euros. The sale is expected to be finalized in the second quarter of 2026, following consultations with works councils.

The company will provide a comprehensive operational and financial picture with the full publication of its 2025 annual report on April 28. Looking ahead to the current 2026 financial year, management anticipates group sales of 7.9 to 9.1 billion euros and a holding company net income of 165 to 200 million euros. These targets form the basis for the planned acquisition drive, with management hinting at further exit opportunities from its energy holdings that could unlock significant value.
