The Düsseldorf-based firm secured overwhelming approval from its noteholders, with 96% agreeing to extend the deadline for submitting its audited 2025 annual and consolidated financial statements until September 30, 2026. The root of the turmoil lies in ongoing investigations into business transactions from 2024 and 2025. External auditors are examining these past activities, while Germany's audit oversight body, the Abschlussprüferaufsichtsstelle, is investigating auditor KPMG over allegations of systematic accounting errors in revenue bookings. The persistent delays cost Gerresheimer its place in the SDAX index in April.

Operationally, management is pushing ahead with a restructuring plan. A central pillar is the sale of its US subsidiary, Centor Inc., with investment bank Morgan Stanley already engaging a double-digit number of potential buyers. The company expects the transaction to be completed this year, with proceeds aimed at reducing the group's debt burden. Gerresheimer intends to refocus on more profitable areas like biopharmaceutical packaging.

Thursday's dramatic share price jump propelled the stock back above the psychologically important €20 level for the first time since April. Yet the rally deserves a sober assessment. While the financing pressure has eased, the fundamental accounting issues are unresolved. The stock still trades approximately 68% below its 52-week high.
