The German pharmaceutical packaging specialist Gerresheimer finds itself in a deepening crisis. As financial regulators expand their probe into accounting irregularities and the company delays its annual report, its stock price has suffered a severe decline. A surprising new investment from a major shareholder has now added a fresh layer of intrigue to the unfolding drama.

Regulatory Probe Intensifies with New Findings

Pressure from Germany's Federal Financial Supervisory Authority, BaFin, escalated significantly at the end of February. The watchdog has broadened its investigation beyond the 2024 financial statements to include a parallel review of the 2025 half-year report. Authorities cite "concrete evidence" of potential violations.

The investigation centers on potentially misbooked revenues from so-called "bill-and-hold" transactions, where income was recorded prior to the actual delivery of goods. BaFin is also scrutinizing the correct accounting for leasing liabilities exceeding 65.5 million euros, as well as capitalized development costs of nearly 30 million euros. Company management has already conceded that internal guidelines were breached, necessitating corrections to both revenue and inventory figures.

Forecast Cut and Market Reaction

The operational consequences of this loss of financial control are severe. Gerresheimer was forced to postpone the publication of its audited annual financial statements to March 31 and simultaneously slash its guidance. The adjusted EBITDA margin is now projected to be only between 16.5% and 17.5%. Furthermore, planned impairment charges of up to 240 million euros will weigh heavily on the bottom line, potentially resulting in an annual loss.

Investors reacted with a massive sell-off. The stock, which recently hit a new 52-week low of 15.57 euros, has lost 38.53% of its value since the start of the year. It currently trades at 17.04 euros, a far cry from its 52-week high of 82 euros. The share price's massive 50% discount to its 200-day moving average underscores the severe technical damage.

Strategic Divestment or Fire Sale?

In a bid to stabilize its balance sheet and reduce debt, management is preparing radical steps. The US subsidiary Centor, which operates in the plastic packaging segment, is now on the block. The move is particularly notable because Centor is considered highly profitable. A sale would provide immediate liquidity but could weaken the group's long-term margin structure. Investment bank Morgan Stanley has been enlisted to manage the divestment process.

A New Player Enters the Fray

Amid—or perhaps because of—this turbulent situation, a new actor has emerged. Investor CastleKnight reported acquiring a 4.08% stake in early March. Market observers interpret this move as a potential signal that opportunistic investors view the current sell-off as exaggerated or are speculating on a lucrative breakup of individual business units.

All eyes are now on the critical date of March 31. If Gerresheimer delivers its certified annual report on time and can successfully refute BaFin's allegations, a bottoming process for the stock may be possible. However, any further delay in the report or the discovery of additional accounting issues would spell more trouble for the embattled company.
