The path to a public listing for defense conglomerate KNDS is entering a critical stage, marked by a significant shift in the political landscape. While investment bank Lazard has been mandated to lead the offering, the German government is reportedly reconsidering its intended stake, aiming for a substantially larger degree of control over the Leopard 2 tank manufacturer than previously envisioned.

Financial Strength and Dual Listing Strategy

Financially robust, KNDS is building its case for a market debut on a foundation of strong orders. By the close of 2024, the company had secured new orders worth 11.2 billion euros, swelling its total order backlog to approximately 23.5 billion euros. This multi-year visibility provides the core support for its anticipated valuation.

Further bolstering its balance sheet is a 15% holding in publicly-listed propulsion specialist Renk. This equity stake is currently valued at around one billion euros, granting KNDS additional financial flexibility as it pursues consolidation within the European land systems sector.

The IPO itself is poised to create a new heavyweight in European defense. With a targeted valuation between 20 and 25 billion euros, the German-French entity plans a dual listing on the Frankfurt and Paris exchanges to reflect its binational structure. Chief Executive Jean-Paul Alary confirmed the timeline for a debut in 2026 remains on track. The share placement is expected to combine a capital increase for expanding industrial capacity with the sale of existing shares. Market analysts anticipate a free float of 20 to 25 percent, a level designed to ensure sufficient trading liquidity while leaving strategic control firmly with core shareholders.

A Shift in the Balance of Power

It is precisely this strategic control that is now in focus. Currently, capital is shared between the French state and the owner family, Bode-Wegmann. Initial discussions pointed to the German state taking a 25 percent stake to create a precise counterbalance to French influence.

Recent reports, however, indicate a change in plans. German authorities are now examining the possibility of acquiring a much more extensive position. The objective is to secure long-term influence over the key defense contractor. Such a move would necessitate a complex renegotiation of the existing parity agreement between the two founding nations.

With Lazard formally appointed, the IPO process is moving from strategic planning to technical execution. The final structure of the offering will now largely depend on how Berlin and Paris resolve the new questions of power distribution and the potential control sought by the German government.
