Exxon Mobil Corporation is preparing for a significant corporate transition. The energy giant's board has put forward a proposal to shareholders to approve relocating its corporate domicile from New Jersey to Texas, with a vote scheduled for May 2026. While this may appear as a mere administrative formality, the move carries substantial consequences for investor rights and occurs against a backdrop of favorable operational developments.

Operational Momentum Builds Amid Relocation Plan

Coinciding with its restructuring proposal, Exxon Mobil is witnessing positive strides in its core operations. The company holds a 30% stake in the Golden Pass LNG terminal in Texas, which has recently commenced production of liquefied natural gas for the first time. Initial shipments from the facility are slated for the second quarter of 2026. At full operational capacity, the terminal is designed to export 18 million tons of LNG annually.

In a separate but significant development for the industry, oil and gas operations in the Gulf of Mexico received a notable regulatory exemption in late March. A committee known as the "God Squad," which had not convened since 1992, granted a waiver under the Endangered Species Act. The justification cited was national security, related to ongoing geopolitical tensions. The Gulf region is a critical energy source, accounting for approximately 15% of U.S. crude oil production, or about 2 million barrels per day.

Should investors sell immediately? Or is it worth buying Exxon Mobil?

The Texas Legal Framework and Shareholder Power

The proposed move to Texas introduces a different legal landscape for corporate governance. State laws there empower company boards to substantially raise the threshold for shareholder proposals. Under legislation passed in 2025 (SB 1057), only investors holding a minimum of 3% of a company's shares could submit proposals for a vote. Based on Exxon Mobil's current market valuation, this stake represents roughly $19 billion. Furthermore, the board could mandate a two-thirds supermajority vote for certain resolutions.

Another statute, SB 29, limits the right to file derivative lawsuits. Such legal actions would be restricted to shareholders owning at least a 3% stake. Following the relocation, Exxon Mobil's board could implement these rules without requiring a separate shareholder vote.

Market Context: A Historic Oil Price Surge

The broader energy market experienced unprecedented volatility in March 2026. The price of Brent Crude oil soared by 63.3% to $118.35 per barrel, marking the largest monthly increase ever recorded in both absolute and percentage terms. This surge was primarily driven by the effective closure of the Strait of Hormuz due to Middle East conflict. Consequently, U.S. gasoline prices surpassed $4 per gallon on March 31 for the first time in three years.

Exxon Mobil's share price has already reflected these powerful market forces. The stock has advanced approximately 40% since the start of the year and is trading near its 52-week high. The upcoming shareholder vote in May will serve as a key test, revealing the level of investor resistance to the planned changes in corporate governance that the Texas relocation would enable.
