Edgewell Personal Care has finalized the sale of its feminine care division to Swedish hygiene giant Essity for $340 million. The transaction, which closed this past Monday, represents a significant portfolio shift as the company sheds major brands including o.b. and Carefree. Management's stated goal is to streamline operations and concentrate capital on its core segments.
The deal, conducted on a cash-free, debt-free basis, involves the North American operations of the Carefree, Stayfree, and o.b. brands, along with Playtex licensing rights. Proceeds are earmarked primarily for balance sheet strengthening and debt reduction. Freed-up resources are now expected to be channeled into Edgewell's remaining growth engines: shaving, sun care, and skin care.
To ensure an orderly transition, Edgewell will provide operational support to Essity for a minimum of one year under a transitional services agreement. Going forward, financial reports will list the divested business as a discontinued operation. This accounting treatment is intended to simplify the corporate story and direct investor attention toward the ongoing segments.
