DeFi Technologies Faces Trading Restrictions for Executives Amid Audit Delay

DeFi Technologies Inc. has applied to the Ontario Securities Commission (OSC) for a Management Cease Trade Order. The move comes as the company anticipates missing the March 31 deadline for filing its annual financial statements for the fiscal year 2025.

Core Issue: A Third-Party Reporting Halt

The delay stems from a specific, isolated technical issue. A key third-party service provider has yet to deliver a required SOC 2 Type II report. This external document is essential for the company’s auditors to finalize their review. DeFi Technologies has clarified that there are no disagreements with its auditors regarding accounting matters, and no problems have been identified within the company's own financial reporting or internal control frameworks. All other audit procedures are reportedly proceeding on schedule.

Implications of the Potential Order

Should the OSC grant the application, the company's Chief Executive Officer and Chief Financial Officer will be prohibited from trading DeFi Technologies securities until the requisite filings are completed. Importantly, this restriction would not apply to other shareholders. Trading of the company's shares on the CBOE Canada and Nasdaq exchanges would continue uninterrupted for the general investing public.

If the filing deadline is missed, the firm has stated it will implement additional procedures to facilitate the audit. These measures are expected to incur substantial extra costs. Concurrently, DeFi Technologies plans to issue bi-weekly status updates until the situation is resolved.

The company intends to file its annual report with the U.S. Securities and Exchange Commission (SEC) concurrently with the Canadian documents. Since its last interim report in November 2025, DeFi Technologies notes there have been no significant business developments.
