The acquisition of Essa Bancorp by CNB Financial Corporation has been finalized, marking the end of the former's status as a publicly traded entity. As of July 2025, Essa has been fully integrated into CNB's corporate structure. Investors who once tracked Essa's stock must now look to the acquiring company's performance for relevant financial insights.

Originally agreed upon in January 2025, the all-stock transaction valued the deal at approximately $214 million at the time of its announcement. Under the terms, shareholders of Essa Bancorp received 0.8547 shares of CNB Financial Corporation for each share of Essa they held.

On the operational front, the integration process is now complete. Essa Bank & Trust, the former subsidiary, has merged with CNB Bank. It now operates under the name "ESSA Bank, a division of CNB Bank." This strategic move has significantly expanded CNB's footprint in northeastern Pennsylvania, including the Lehigh Valley region, adding 20 branch locations to its network.

Should investors sell immediately? Or is it worth buying Essa?

Combined Financial Results Published

The financial impact of the acquisition is now visible in the acquirer's reporting. On January 27, 2026, CNB Financial released its earnings report for the fourth quarter and the full year of 2025. This report represents the first complete quarterly statement to encompass the combined operations following the Essa Bancorp takeover. The figures provide an initial look at how the acquired loan portfolios and customer deposits have affected CNB Financial's balance sheet.

For market participants interested in monitoring the performance of the former Essa operations, future quarterly disclosures from CNB Financial Corporation will serve as the primary source of information. Attention now shifts to whether the projected synergies and efficiency gains anticipated from the merger will be achieved.
