The company's successful divestiture of its Dutch subsidiary, Cefetra Group, is set to significantly strengthen its balance sheet, providing a substantial boost to its multi-year debt reduction strategy.
A Transaction with Outsized Impact
BayWa confirmed the completion of the Cefetra Group sale to an investor consortium on Wednesday. While the transaction generated proceeds of 125 million euros, the more consequential effect lies in the accounting treatment. Removing the unit from BayWa's consolidated financial statements eliminates over 600 million euros in liabilities. This deconsolidation delivers a debt reduction impact that is several multiples greater than the cash purchase price alone.
The closure of this deal resolves a period of uncertainty for the company. A prior attempt to sell the business to the First Dutch Group had collapsed in the autumn of 2025. The finalization of this alternative transaction demonstrates management's ability to execute its restructuring agenda effectively.
Accelerating the 2028 Debt Target
This sale represents a core component of BayWa's broader plan to reduce total corporate liabilities by 4 billion euros by 2028. Including other divestments completed in 2025, the company has now lowered its bank debt by approximately 1.3 billion euros.
