Allianz SE will convene its Annual General Meeting on May 7, 2026, at Munich’s Olympiahalle, with a substantive agenda featuring a significant dividend increase and a proposed overhaul of its executive compensation model. The revised system aims to create a tighter link between long-term variable pay and the company’s stock performance.

Dividend Increase and Share Buybacks Highlight Capital Return

The insurer’s board has proposed a dividend of €17.10 per share for 2025, marking an 11 percent increase over the prior year’s payment. The ex-dividend date is set for May 8, 2026, with the payout scheduled for May 12. This distribution is complemented by an ongoing share repurchase program authorized to run until the end of 2026, with a total volume of up to €2.5 billion.

This shareholder remuneration follows a year of robust financial performance. Allianz posted a record profit of €17.4 billion for the 2025 financial year, supported by a strong Solvency II capital ratio of 218 percent. Management has indicated it is targeting a similar level of profitability for 2026.

Compensation Reform Responds to Investor Feedback

A central item on the meeting agenda is a vote on a reformed executive compensation system. The changes come after the 2025 remuneration report received approval from only 70.89 percent of voting shares, with proxy advisors and major investors criticizing aspects such as pension contribution levels and the structure of relative performance hurdles.

Despite a solid operational foundation, a notable risk factor remains within the group’s portfolio. Allianz Trade, the credit insurance subsidiary, faces headwinds from a rising global corporate insolvency trend. Insolvencies increased by approximately six percent worldwide in 2025, with an 11 percent surge in Germany to about 24,300 cases, directly impacting the insurance business.
