Allianz Shareholders to Vote on Executive Pay Overhaul and Record Payout

Allianz proposes an 11% dividend increase to €17.10/share and a stricter executive pay model tied to stock performance at its 2026 AGM, following record 2025 profits.

Allianz SE will convene its Annual General Meeting on May 7, 2026, at Munich’s Olympiahalle, with a substantive agenda featuring a significant dividend increase and a proposed overhaul of its executive compensation model. The revised system aims to create a tighter link between long-term variable pay and the company’s stock performance.

Dividend Increase and Share Buybacks Highlight Capital Return

The insurer’s board has proposed a dividend of €17.10 per share for 2025, marking an 11 percent increase over the prior year’s payment. The ex-dividend date is set for May 8, 2026, with the payout scheduled for May 12. This distribution is complemented by an ongoing share repurchase program authorized to run until the end of 2026, with a total volume of up to €2.5 billion.

This shareholder remuneration follows a year of robust financial performance. Allianz posted a record profit of €17.4 billion for the 2025 financial year, supported by a strong Solvency II capital ratio of 218 percent. Management has indicated it is targeting a similar level of profitability for 2026.

Compensation Reform Responds to Investor Feedback

A central item on the meeting agenda is a vote on a reformed executive compensation system. The changes come after the 2025 remuneration report received approval from only 70.89 percent of voting shares, with proxy advisors and major investors criticizing aspects such as pension contribution levels and the structure of relative performance hurdles.

The key amendment concerns the long-term bonus plan. Under the new proposal, these awards would be forfeited if the Allianz share price underperforms the STOXX Europe 600 Insurance Index by more than 25 percentage points over a four-year measurement period. This represents a substantial tightening of the previous threshold, which was set at a 50-percentage-point underperformance.

Supervisory Board Sees Leadership Transition

The meeting will also oversee a change in leadership at the supervisory board level. Chairman Michael Diekmann is stepping down, alongside board members Sophie Boissard and Rashmy Chatterjee. The company intends to propose Dr. Jörg Schneider, the former CFO of Munich Re, as the new chairman, bringing deep industry expertise to the role.

Credit Insurance Segment Presents a Watchpoint

Despite a solid operational foundation, a notable risk factor remains within the group’s portfolio. Allianz Trade, the credit insurance subsidiary, faces headwinds from a rising global corporate insolvency trend. Insolvencies increased by approximately six percent worldwide in 2025, with an 11 percent surge in Germany to about 24,300 cases, directly impacting the insurance business.

Allianz Trade anticipates a further, though moderating, increase in insolvencies for 2026. The extent to which this pressure affects the group’s full-year results may gain early indication when Allianz reports its first-quarter 2026 figures on May 13, just six days after the Annual General Meeting.
