On January 29, 2026, investors will decide on a proposal to double the firm’s authorized share count from 1.5 billion to 3.0 billion.

In an unusual move highlighting the vote's significance, Plug Power’s Chief Executive Officer, Andy Marsh, is engaging directly with retail investors. A scheduled "Ask Me Anything" session on Reddit, beginning at 8 PM Central European Time, will allow Marsh to field questions ahead of the crucial ballot. This outreach underscores management's concerted effort to secure approval for the share authorization increase.

The company’s current situation adds urgency to the proposal. Plug Power now has less than 0.4% of its authorized shares remaining at its disposal. Without the capacity to raise capital through equity issuance, the hydrogen technology specialist could face significant operational constraints.

A Repeat Attempt with Revised Rules

This is not the first time the company has sought this change. A similar proposal in 2025, while receiving "yes" votes from 84% of shares that were actually voted, ultimately failed. The defeat was due to Plug Power’s corporate charter, which requires approval from a majority of all outstanding shares. Under this rule, shares not cast are effectively counted as votes against the measure.

To prevent a repeat of this outcome, a second proposal will be voted on concurrently. This measure aims to align the company’s voting requirements with standard Delaware corporate law, where only votes cast typically determine the outcome.

Should the share increase fail again, management has indicated a backup strategy: a reverse stock split. This maneuver would reduce the total number of shares outstanding, thereby creating theoretical room for future issuance under the current authorization limit. However, reverse splits are often viewed negatively by the investment community and can signal broader financial distress.

Recent Developments: Clearing the Deck

In a positive development earlier this month, Plug Power resolved a longstanding overhang from its balance sheet. Walmart Inc., through a new 15-year licensing agreement, relinquished all warrants it held to purchase up to 42.2 million Plug Power shares. These warrants originated from a 2017 deal and had been a persistent source of potential dilution concern for investors. Their removal is seen as a constructive step toward simplifying the equity structure.

Leadership Transition and Forthcoming Results

A change at the helm is scheduled for March, when Jose Luis Crespo will assume the role of CEO. Andy Marsh, who has led the company since 2008, will transition to the position of Executive Chairman.
