At its September 21, 2026, extraordinary meeting, UniCredit S.p.A. shareholders approved authority for the board to issue perpetual Additional Tier 1 instruments convertible into ordinary shares, denominated in U.S. dollars for a maximum equivalent amount of EUR 5 billion. They also approved authority for a capital increase of up to 10,603,000 ordinary shares, with a maximum nominal amount of EUR 151,304,810 plus any share premium, linked to the settlement of certain Total Return Swap agreements referencing Commerzbank AG shares.
