Planned US expansion

Softcat said it had signed an agreement to acquire GDT Topco, a US-based multi-vendor IT solutions provider, for an enterprise value of $1.05 billion, or £785 million. The transaction is expected to close by the end of the first quarter of 2027, subject to customary regulatory filings and approvals, according to the RNS announcement.

Trading update

In the same announcement, Softcat said it expected high-teens growth in full-year 2026 underlying operating profit, compared with previous guidance for mid-teens growth. It also expected gross profit growth moderately above that rate and cash conversion toward the top end of its guided range of 85% to 95%. Softcat said its preliminary FY2026 results were scheduled for October 14, 2026.

Funding and transaction terms

Softcat said the acquisition would be funded through cash, new debt facilities and proceeds from an equity placing. The company also announced a conditional retail offer of new ordinary shares in the United Kingdom, with proceeds intended to part-fund the GDT acquisition, in a separate RNS announcement.
