Medtronic said it is offering to exchange up to 225,361,295 shares of MiniMed common stock for outstanding Medtronic ordinary shares. The final ratio was capped at 4.5939 because the calculated values would otherwise have produced a higher ratio. Medtronic’s release said the offer and withdrawal rights expire at midnight New York City time at the end of October 9, 2026, unless the offer is extended or terminated.
