In a press release dated October 4, Intesa Sanpaolo said Delfin had undertaken to tender its entire holding of 534,676,825 Banca Monte dei Paschi di Siena shares into Intesa’s voluntary public tender and exchange offer. Intesa said the stake represents 17.6 percent of MPS’s share capital. Intesa Sanpaolo said the offer is promoted on all ordinary MPS shares.

Offer terms and conditions

In a separate October 3 release, Intesa Sanpaolo said it would increase the cash component of its offer from EUR 1.00 to EUR 1.25 per MPS share while retaining an exchange ratio of 1.6 newly issued Intesa shares for each MPS share tendered. Intesa also said the offer could become definitively ineffective if MPS shareholders approve certain items at the meeting scheduled for October 29, 2026. Intesa Sanpaolo said the offer concerns shares listed on Euronext Milan.
