The ad-tech company is navigating a delicate balancing act this month. One the one hand, the formal approval for its corporate headquarters move to Ireland has been secured; on the other, a cautious analyst revision and softer-than-expected organic growth have left the stock hovering dangerously close to its 52-week low.

A Fresh Course Target, Same Conviction

Ellis Acklin, the analyst covering Verve Group for First Berlin Equity Research, trimmed his price target on Friday from EUR 4.50 to EUR 4.00. The move follows a review of the company's second-quarter results, which largely matched expectations but came with a more guarded outlook for the second half of the year. Acklin maintained his buy recommendation, though he flagged that the company's full-year guidance now appears more ambitious than conservative, raising the bar for the months ahead.

The market's reaction to Thursday's earnings release has been decidedly less forgiving. Despite posting revenue of EUR 152.3 million in Q2—a 6.5 percent year-over-year increase—the underlying organic growth of 3.5 percent fell short of the company's own targets. Adjusted EBITDA rose 2.2 percent to EUR 30.1 million, translating to a margin of roughly 20 percent. Management reaffirmed its full-year forecast of EUR 680 million to EUR 730 million in revenue and adjusted EBITDA between EUR 145 million and EUR 175 million, banking on seasonal tailwinds, a rebound in advertising budgets, and momentum in retail media during the second half.

Dublin Move Gets the Green Light

Should investors sell immediately? Or is it worth buying Verve Group?

While investors digest the earnings picture, the corporate relocation is advancing on schedule. On Monday, the Swedish Companies Registration Office (SCRO) formally confirmed the move approved by shareholders back in June, issuing a transfer certificate under the European Company statute. Verve Group will establish its new registered office at Ten Earlsfort Terrace in Dublin, with a fresh Irish registration number, a new ISIN, and a confirmed trading commencement date expected shortly. The transition itself is slated for early October.

The administrative milestone reduces some uncertainty, but questions remain about the future tax and capital market structure until the new identifiers are published. For shareholders, the ISIN change introduces practical considerations—depot rebookings, potential index adjustments, and compliance checks for institutional investors with rigid mandate constraints—all of which can divert management attention from operational priorities.

Underlying Stability Amid the Noise

Beneath the headline growth disappointment, the company's fundamentals show resilience. Customer retention hit 99 percent in the second quarter, with net dollar retention at 95 percent. The number of large clients generating over EUR 100,000 in revenue grew 21.5 percent year over year. Gross margin improved to 40 percent, supported by a unified platform, more efficient handling of publisher requests, and lower cloud costs.

Management also noted a deliberate cleanup of low-quality ad inventory, which reduced total ad impressions by 10 percent year over year—though the revenue impact was proportionally smaller given the thinner margins on that traffic.

A Stock at the Edge

The share price closed Friday at EUR 1.06, down 3.9 percent on the day. That puts the stock just 1.6 percent above its 52-week low of EUR 1.04, and roughly 57 percent below its yearly high of EUR 2.48. Technical indicators offer little comfort: the RSI sits at 29.6, signaling oversold conditions, though that alone rarely marks a turning point.

The broader narrative here is less about a single weak quarter and more about a company repositioning itself on multiple fronts—legally, geographically, and operationally—while the market watches to see which version of Verve Group ultimately emerges. Management will have a chance to make its case on Monday at the Equity Forum German Fall Conference in Frankfurt, an opportunity to rebuild confidence before the Dublin transition takes effect in October.
