Thyssenkrupp's tk accelis: A 28 October Debut, a 51% Anchor, and a Valuation Gap Worth 1.2 Billion Euros
Published on 10/22/2026 at 02:40 | Editorial boerse-global.deThyssenkrupp shares climbed 2.7% after the conglomerate firmed up the timetable for listing its materials trading arm, tk accelis. The first quotation is scheduled for 28 October, with BaFin having already approved the securities prospectus, according to Reuters. For investors, the announcement shifts attention from the calendar to the mechanics of the carve-out — and to a striking disagreement among analysts over what the business is actually worth.
That disagreement is the real story. Jefferies puts the enterprise value of the materials unit at roughly EUR 3.6 billion including debt, while Deutsche Bank's base case lands at EUR 2.4 billion. The gap of some EUR 1.2 billion lays bare how much the eventual price depends on the assumptions behind it.
Enterprise value is not equity value
Deutsche Bank's numbers deserve unpacking, because the two figures investors tend to conflate are not the same thing. The bank sees a possible equity valuation of EUR 1.2–3.3 billion, against a strategic business value it estimates at more than EUR 4 billion. From that strategic figure, EUR 0.6 billion in net debt and pension obligations would be deducted.
None of these are guaranteed listing prices. A valuation that includes debt cannot be mapped directly onto the value of the shares that will soon trade. The strategic number is not a forecast for the first market price either — it offers shareholders an additional lens on the stake, not a reliable benchmark for the debut.
Should investors sell immediately? Or is it worth buying Thyssenkrupp?
The prospectus itself, as reported by Börsen-Zeitung, puts the costs of the spin-off and admission at around EUR 75 million. That outlay belongs in any economic assessment of the transaction.
The margin test that must carry the valuation
Whether the loftier end of the range holds up will be decided by operations, not by the listing ceremony. A spin-off does not by itself improve earnings power, nor does it guarantee that the market will recognise a strategic value. The business has to deliver.
On Reuters figures, tk accelis generated revenue of EUR 11.4 billion in fiscal 2024/2025 at an adjusted EBITDA margin of 2%. Management is targeting a margin of 4–5% over the medium term, alongside annual revenue growth of more than 4%. Both are objectives, not accomplished facts — and the profitability target implies a substantial improvement from today's level.
That is the central test for investors: not the size of the division, but its future earning power, must justify a more demanding valuation.
A majority stake stays with the parent
The carve-out is not a full exit from the materials business. Thyssenkrupp intends to remain the majority shareholder and to continue consolidating the unit's results, so tk accelis's performance will keep mattering to the parent. The group will retain 51% of the shares.
Existing shareholders are to receive one tk accelis share for every 20 Thyssenkrupp shares, automatically and at no cost. The spin-off takes effect on 27 October 2026, one day before the planned first quotation in the Prime Standard of the Frankfurt exchange.
Thyssenkrupp at a turning point? This analysis reveals what investors need to know now.
Two linked valuation perspectives therefore emerge: direct exposure to tk accelis, and the majority stake that stays inside Thyssenkrupp. Whether the separation unlocks value will not be settled by the opening bell alone — the valuation of the retained holding and delivery on the operating targets matter just as much.
A stake reduction and the diary ahead
Separately from the spin-off plan, Morgan Stanley reported a reduced voting position in Thyssenkrupp on 15 October, falling from 5.84% to 3.79% overall. The disclosure covers both voting rights from shares and positions held through instruments. It is a regulatory notification about the parent's ownership structure, distinct from the allocation of tk accelis shares to existing Thyssenkrupp holders.
Once trading begins, a roadshow in London is scheduled for 4 November, with publication of the 2025/2026 annual report set for 8 December. The immediate milestone remains the tk accelis debut and the share allocation that comes with it; the annual report then provides the next named date on the group's financial calendar.
