Thyssenkrupp has narrowed the window for the next stage of its corporate overhaul. According to Reuters, citing two insiders, the Essen-based industrial group is targeting October 28 for the stock market debut of its materials trading subsidiary tk accelis. The company declined to comment on the specific date but reiterated its intention to complete the listing before the end of the year.

The spin-off marks the third such milestone in Thyssenkrupp's transformation into a holding company with significant stakes in its operating businesses, following the earlier listings of Nucera and TKMS. Shareholders already gave the plan overwhelming backing in August, with 99.99 percent voting in favor of the separation. Under the structure, Thyssenkrupp will retain 51 percent of tk accelis, while the remaining 49 percent will be distributed to the parent company's shareholders.

A Trading Arm With Scale and Room to Grow

The numbers behind the carve-out are substantial. tk accelis employs roughly 15,500 people across thirty countries and generated revenue of EUR 11.4 billion in the 2024/25 fiscal year. Jefferies values the business, including debt, at as much as EUR 3.6 billion.

Profitability is where management sees the most headroom. The division is targeting an adjusted EBITDA margin of between four and five percent, up from two percent in the 2024/25 fiscal year. Executives argue that operating as a standalone entity will give the trading business greater flexibility to pursue its market opportunities.

Steel Division Reaffirms Its Medium-Term Goals

The listing news arrives alongside fresh guidance from thyssenkrupp Steel, which used its Capital Market Day about a week ago to restate its medium-term financial ambitions. The unit is aiming for adjusted EBITDA of at least EUR 1.2 billion and an adjusted EBITDA margin of at least 11 percent, alongside positive free cash flow. Those targets rest on self-help measures expected to contribute more than EUR 800 million in earnings.

Whether the savings and efficiency programs deliver as planned will depend heavily on European steel demand, which remains clouded by economic uncertainty. How the operating business holds up in that environment is now the central question for market participants.

Analyst Stance and a Shifting Shareholder Register

JPMorgan kept its rating at "Neutral" with a price target of EUR 15 on September 28. In a separate filing, Norges Bank disclosed that it had fallen below a reporting threshold, with its total position slipping to 2.84 percent from 3.17 percent previously.

Thyssenkrupp at a turning point? This analysis reveals what investors need to know now.

The stock itself has been consolidating. Thyssenkrupp shares closed yesterday at EUR 13.74, down 2.5 percent, and were trading at EUR 13.72 today, a further decline of 2.6 percent. The pullback came amid broad weakness across European steelmakers, with peers including Salzgitter, voestalpine and ArcelorMittal also losing ground and no company-specific catalyst behind the pressure. Despite the recent softness, the shares remain up 47 percent since the start of the year, lifted by progress on the group's restructuring.

Key Dates Ahead

Investors will get more clarity in the coming weeks. The company's quiet period begins on October 22, ahead of full-year results for fiscal 2025/2026 scheduled for December 8.
