Brazilian pulp giant Suzano is stepping back from Lenzing's recapitalisation, passing a slice of its subscription rights to the fibre maker's anchor shareholder rather than funding its full pro-rata share. Under the agreement disclosed in early October, Suzano is transferring rights covering 1,757,754 new shares to a B&C Group entity, leaving the Brazilian group to commit only about EUR 22.5 million of fresh capital to the Austrian company.

The two major holders had jointly pledged to take up 18,159,291 new shares between them, so Suzano's retreat shifts a meaningful portion of that obligation onto B&C. The reallocation comes as Lenzing presses ahead with a fully underwritten cash call designed to shore up a balance sheet strained by a prolonged downturn in the fibres business.

A €300 Million Reset

The rights issue spans 34,756,362 newly issued shares priced at EUR 8.65 apiece, a level that implies a steep theoretical discount to the pre-announcement market price. Lenzing is targeting gross proceeds of roughly EUR 300 million, which management intends to deploy toward strengthening its capital structure and advancing its "Grow Nonwovens, Reset Textiles" strategy — an effort to engineer an operational turnaround in a fibre market that has been under heavy pressure for several quarters.

Subscription trading in the rights opened on Tuesday and is scheduled to run through 14 October 2026, giving existing holders a window to sell their entitlements or add to their positions. The subscription period itself is expected to close on 20 October 2026, the same day Lenzing has pencilled in an international private placement of any shares left unsubscribed. Delivery and the start of trading in the new stock are slated for around 23 October.

Institutions Trim Their Exposure

The reshuffling among Lenzing's largest investors extends well beyond Suzano. NN Group disclosed on Tuesday that its combined position in voting rights and financial instruments had fallen from 6.27% to 2.54%, with the remaining stake made up entirely of shares. Goldman Sachs had already pared its holding to 3.86% about a week earlier. On the other side of the ledger, B&C KB Holding — a company closely tied to Lenzing — secured a large block of subscription rights on Monday, picking up 9,654,547 rights at a reported price of EUR 0. Supervisory board member Patrick Lackenbucher is closely associated with the notifying holding.

The heavy theoretical discount attached to the cash call weighed on the share price almost immediately after it was announced, and the stock remains under pressure. Lenzing closed Wednesday at EUR 12.60, a decline of 1.9% on the day.

Berenberg Steps to the Sidelines

Analysts have turned more cautious on the equity story. On 2 October, Berenberg downgraded the stock from "Buy" to "Hold" and cut its price target to EUR 17.00 from EUR 29.50. Analyst Sebastian Bray pointed to operational hurdles, noting that higher raw material costs had not flowed through to results as expected.

Lenzing at a turning point? This analysis reveals what investors need to know now.

With capital needs running high and the burden of the raise now distributed differently between the two anchor shareholders, market participants are left weighing how quickly Lenzing can deliver the operational recovery its refinancing is meant to fund.
