Sunrise Energy Metals has set in motion a corporate overhaul that would plant its parent company firmly on American soil, capping a stretch in which its stock has more than tripled since the start of the year.

The Australian miner signed a binding implementation agreement on Friday to shift its top-level holding company to the US state of Delaware. Under the plan, a freshly incorporated entity — Sunrise Energy Metals, Inc. — would sit atop the group and pursue a primary listing on the Nasdaq, while the existing Australian quotation continues as a secondary listing on the ASX.

The new American holding company is set to acquire all shares in Sunrise Energy Metals Limited. Existing shareholders would swap their stock on a one-to-one basis, leaving their proportional ownership untouched. By default, investors would receive CHESS depositary interests, known as CDIs, tradable on the Australian Securities Exchange. Those preferring direct exposure can instead elect to take ordinary shares of the new parent company listed on the Nasdaq.

Management has flagged December 2026 as the target date for completing the legal steps. Before that can happen, the transaction needs sign-off from shareholders and a court, plus regulatory clearances from Australia's Foreign Investment Review Board (FIRB), the US Securities and Exchange Commission and the exchange operators ASX and Nasdaq.

Operationally, nothing changes. Reuters reported that the move will not affect the company's projects, assets or day-to-day operations. Leadership is likewise staying put: both the board members and the existing management team are expected to remain in their current roles.

The structural plans were accompanied by a response to a formal ASX enquiry. On Thursday, Sunrise Energy Metals addressed questions about equity instruments issued the previous year. The company explained that two placements — proposed on 3 December 2025 and 16 December 2025 — had been structured as issuances, with Valvino Lamore LP acting as sole subscriber in both cases. Management stressed that the placements complied fully with exchange rules.

A mandatory disclosure on Friday of a new major shareholder further underscored market interest in the stock. European investors greeted the developments with restraint. The shares ended Friday's session in German trading at EUR 13.05, a gain of 206 percent since the beginning of the year. During the day, the stock climbed 6.9 percent on the publication of the restructuring plans, according to Reuters.

The realignment is intended to broaden the company's international capital base. Existing ownership structures remain intact, while the room for future financing and trading moves widens.
