Steyr Motors Shares Sit Below a €39 Bid as Analysts Split on the Upside
Published on 11/01/2026 at 16:02 | Editorial boerse-global.deSteyr Motors shareholders are holding a stock that trades for less than the cash on the table. Friday's close of €35.40 left the shares beneath the €39.00 per share that Red Cat Holdings has put forward through its wholly owned subsidiary SMOT Acquisition — a gap that speaks less to doubt about the offer's existence than to the conditions attached to it.
Those conditions are not trivial. The voluntary public cash offer requires regulatory clearances and a minimum acceptance threshold of 50% plus one share. Red Cat expects the transaction to close in the first half of 2027, with the acceptance period running until 18 December 2026 at 17:00 CET. B&C Holding Österreich has already committed to tender its stake of roughly 15%.
Site Guarantees and a Two-Year Hiring Shield
The merger agreement, signed around two weeks ago, carries binding commitments that go beyond the usual boilerplate. Red Cat has pledged to keep the company's headquarters, manufacturing operations and research and development in Steyr for three years from completion. On top of that, the buyer has agreed to a two-year moratorium on operational redundancies.
According to ORF, the pact also calls for Steyr Motors to support a possible delisting or a later squeeze-out of minority shareholders — an undertaking that applies only insofar as it is compatible with the statutory duties of the management board.
Should investors sell immediately? Or is it worth buying Steyr Motors?
Two Brokers, Two Verdicts, One Narrow Band
Analysts have converged on price targets that cluster just above the offer, even as their ratings diverge. Cantor Fitzgerald rated the stock "Neutral" on 23 October and left its target unchanged at €39.50. A day earlier, Baader cut the shares to "Reduce" with a target of €39.60. Both figures sit within a whisker of the €39.00 bid, suggesting the market's attention is fixed on deal mechanics rather than on standalone valuation.
Third-Quarter Momentum and a Confirmed Outlook
The operating picture offers some support for the board's confidence. Revenue rose 11.2% to €12.5 million in the third quarter of 2026, while adjusted EBIT climbed to €1.4 million from €0.9 million a year earlier. Over the first nine months, sales reached €35.3 million, up from €34.4 million in the comparable period of 2025.
Management reaffirmed its full-year guidance alongside those figures: revenue growth of 15% to 25% and an adjusted EBIT margin of 8% to 12%. The board also expects a marked pickup in the fourth quarter, which will need to materialise if the top end of that range is to be reached.
Steyr Motors at a turning point? This analysis reveals what investors need to know now.
For holders, the calculation is now a narrow one. The upside to the offer is modest, the timetable stretches into 2027, and the deal's completion rests on approvals and a threshold that has yet to be met.
