SITE Centers to Exit NYSE After $3.00 Special Dividend Tied to Joint-Venture Sale
Published on 10/16/2026 at 19:01 | Editorial boerse-global.deSITE Centers is winding down its life as a publicly traded company, pairing the sale of a joint-venture stake with a cash distribution so large that it would push the real estate investment trust below the New York Stock Exchange's continued-listing thresholds. Rather than wait for the exchange to act, management is opting for a voluntary delisting.
Shares reacted sharply to the news in German trading, climbing 16 percent to EUR 3.12.
Joint-Venture Exit Funds the Payout
The sequence began with a portfolio cleanup. SITE Centers shed its interest in the Dividend Trust Portfolio joint venture, a transaction that generated roughly USD 32.4 million in net proceeds. The board then committed to returning a large slice of that cash to shareholders through a special distribution of USD 3.00 per common share.
The scale of the payout is striking. Before the measure was announced on Thursday, the stock had closed at USD 3.01 on its home exchange in New York — meaning the distribution comes close to matching the entire market value of the equity at that time.

Due-Bill Trading and Key Dates
Because the payment exceeds 25 percent of the share price, special settlement rules kick in on the U.S. markets. A record date of October 27, 2026 has been set for entry in the shareholder register, with payment scheduled for November 5. The official ex-date on the exchange follows on November 6, 2026.
Between October 27 and November 5 inclusive, the stock trades on a due-bill basis: anyone selling shares during that window automatically transfers the right to the special payment to the buyer.
Delisting Set for December 4
The capital reduction carries a direct consequence for the listing. SITE Centers plans to notify the NYSE of a voluntary delisting, with the removal expected to take effect before the start of trading on December 4, 2026.
The company was candid about its reasoning: the cash distribution is expected to cut the calculated share price and the remaining market capitalization so deeply that the NYSE's automatic delisting thresholds would be triggered. By moving first, SITE Centers preempts a regulatory process it would otherwise face.
No move to another exchange segment or secondary listing is planned, and the company says there are no agreements for a listing or alternative price determination elsewhere. The December date therefore marks the foreseeable end of regular trading for the stock.
Quarterly results are still due to be published on October 27.
