SAP's Regulatory Reprieve and BlackRock's Stake Build Collide With a Chart Warning

The overhang that had been pressing on SAP's share price for months has finally lifted. Germany's Federal Cartel Office has closed its preliminary inquiry into the software group's on-premise maintenance practices without escalating to a formal abuse proceeding, following the European Commission's earlier decision to end its own case after SAP offered binding commitments. For shareholders, the development removes a regulatory cloud that had been difficult to price.
The all-clear lands at a moment when the stock is already enjoying one of its most vigorous recoveries in recent memory. From the July low, SAP has staged a remarkable comeback, with the shares closing Friday at €186.70, up 0.7 percent on the day. The 30-day gain stands at 43 percent, while the seven-session advance comes to 3.6 percent. That blistering pace has pushed the stock roughly 23 percent above its 50-day moving average — a striking illustration of how quickly sentiment has turned since the summer trough.
Institutional money has been following the momentum. BlackRock has expanded its position twice within a matter of days, disclosing on August 14 that its voting rights had risen to 6.75 percent, after having already reported crossing the 6.70 percent threshold on August 10, effective as of August 5. The timing of the accumulation suggests the world's largest asset manager sees value in SAP's fundamental story even as the technical picture grows increasingly stretched.
That story rests on a cloud business firing on all cylinders. Currency-adjusted cloud revenue grew 24 percent to €6.3 billion, while the cloud backlog expanded 26 percent to €22.9 billion. The company also narrowed its 2026 outlook for non-IFRS operating profit to a range of €11.8 billion to €12.2 billion, trimming the previous guidance of €11.9 billion to €12.3 billion. Management has been candid that the integration of AI acquisitions Dremio and Prior Labs, both completed in July, will cause slight margin dilution — a signal that growth currently takes precedence over profitability.

Sector dynamics have added fuel to the fire. Reports that Silver Lake is in talks to acquire US rival Workday sparked a 2.7 percent jump in SAP's shares on August 17, with investors reading the potential deal as validation of the strategic appeal of the cloud software space. The buyback program has provided additional support, with SAP having repurchased more than five million of its own shares through the market so far.
The analyst community, however, is beginning to sound a more cautious note after the extended run. Berenberg trimmed its price target on Wednesday from €215 to €205, though it maintained a "Buy" rating. Erste Group Bank raised its earnings estimate for the current fiscal year on the same day. Goldman Sachs reaffirmed its buy recommendation on Friday, citing sustained cloud momentum and disciplined capital returns, while TD Cowen confirmed its "Buy" stance a day earlier. Barclays and Goldman carry price targets of €220 and €215 respectively — both still above the current level, yet the general market view now holds that upside potential looks more limited following the sharp ascent from the July low.
JPMorgan's March downgrade from "Overweight" to "Neutral," which flagged potential saturation in the cloud backlog and valuation concerns, looks increasingly dated given the subsequent price action, though the bank has not published an updated view.
The technical indicators argue for caution. The relative strength index sits at 75, firmly in overbought territory, and chart analysts point to bearish divergences forming — signals that the recovery trend may be losing momentum and a consolidation phase could be imminent. That helps explain why several houses have tempered their enthusiasm even as the fundamental narrative remains intact.
There are operational wrinkles too. A critical vulnerability in SAP Commerce Cloud, carrying a maximum CVSS severity score of 10.0, was disclosed on August 9, with the final patch scheduled for September 9. On the partner front, IT services firm PrimeS4 Technologies earned "SAP Supply Chain Expert" certification for logistics solutions in North America last week, and SAP is hosting a Connect Day for customer service in discrete manufacturing in Zurich on August 27.
Investors now face a two-sided picture. The fundamental case — cloud growth, regulatory relief, and institutional backing — remains solid, and the €22.9 billion backlog provides visibility into the quarters ahead. But with the stock trading at levels that already reflect much of the good news, and the RSI flashing overbought, the risk of a pullback has grown. The third-quarter figures, scheduled for release on October 21, will offer the next major test of whether the cloud growth story can continue to deliver despite the dampening effect of the acquisitions.
