Rocket Lab seeks Iridium shareholder approval for a $6.0B equity deal, targeting mid-2027 close as Neutron testing and solar cell output advance.

Rocket Lab is asking Iridium Communications shareholders to sign off on a deal that would fold satellite communications into a company already building rockets, spacecraft and now its own solar cells. The vote lands Thursday, and the terms have been public for months: Iridium holders would receive $27 in cash per share plus a variable slice of Rocket Lab equity.

The transaction carries a $6.0 billion equity value and an $8.1 billion enterprise value. Once closed, former Iridium investors would own roughly 5 percent of the combined company. Management is targeting mid-2027 for completion, subject to regulatory clearances.

Beck's Case for Vertical Integration

CEO Peter Beck used the run-up to the vote to sharpen his argument for the combination. He sizes the launch market at $10 billion to $20 billion and spacecraft manufacturing at $20 billion to $30 billion — but told investors the real money sits further downstream, in services and applications layered on top of the hardware. The merged entity would house launch vehicles, spacecraft production and global satellite communications under one roof.

Financing for the cash portion is already locked in. Rocket Lab sold 29.3 million shares, raising $1.944 billion gross. Existing liquidity and an amended $1.775 billion Iridium loan agreement round out the package. A previously arranged $3.6 billion bridge facility was retired ahead of schedule, cutting interest exposure before the deal closes.

Neutron Hardware Takes Shape

While regulators review the merger, engineers are pushing the reusable Neutron rocket toward its first flight. Functional testing of the folding payload fairing wrapped up successfully. At the launch site in Virginia, crews installed a ten-meter test stand where second-stage engine modules will be checked on location.

Should investors sell immediately? Or is it worth buying Rocket Lab?

Cantor Fitzgerald's Andres Sheppard reiterated an Overweight rating with a $122 price target. The firm flags two catalysts for the stock: the Iridium closing in mid-2027 and Neutron's maiden launch. Beyond the existing launch infrastructure and a growing book of government contracts, the analyst points to larger payload capacity as a competitive edge.

A Launch Cadence That Rarely Blinks

The operational side of the business is running at a pace few peers can match. Rocket Lab's most recent Electron mission — its 96th overall — carried the twelfth radar satellite for Japan's Synspective into orbit. The partnership has a 100 percent success rate, with 15 more missions contracted through the end of the decade.

That flight followed the 94th mission on September 2 and a Saturday launch of another Synspective StriX satellite under the "Owl By The Dozen" banner, which placed its payload into a 572-kilometer low Earth orbit. The company is now preparing its 97th launch, which would be its fourth Electron mission in 25 days. Backlog stands at a record $2.36 billion.

Solar Cells and the Supply Chain Bet

On September 8, Rocket Lab began production of its Inverted Metamorphic Apex solar cell. The high-efficiency design aims to cut reliance on scarce critical minerals — a choke point in satellite construction. Making key components in-house and at scale shields the company from supply chain shocks and extends its vertical integration beyond rockets and spacecraft.

Market Response

Shares changed hands at EUR 62.60 in recent trading, up 2.8 percent on the day and 4.2 percent above the 50-day moving average. A separate reading put the stock at EUR 62.10, a 2.0 percent gain, above a 50-day average of EUR 60.09 — figures that reflect the same advance at different points in the session.

The bull case rests on two pillars: a launch business that delivers on schedule and a portfolio of strategic components built in-house. If regulators clear the Iridium purchase on the expected timeline, Rocket Lab would cement its position across the space value chain for years to come.
