Derek Sobel's appointment as finance chief places a key executive function squarely inside the Canadian business, a signal of where management sees the center of gravity shifting. Over the weekend, the team also worked the room at the Muskoka Capital Event in Ontario, courting capital providers in the province that hosts its second processing hub.
That Ontario-first posture arrives barely two weeks after Rock Tech closed the second tranche of a private placement, upsized to as much as C$6.0 million. The tranche itself brought in gross proceeds of C$3.51 million, lifting the total raised to roughly C$5.31 million. A single strategic investor accounted for C$3.25 million of that sum.
The Guben Equity Structure Is the Real Lever
What matters more than the headline number is how the strategic backer intends to deploy it. The investor is planning a direct equity stake at the project level in the Guben converter in Brandenburg, Germany. If that structure closes as designed, it would absorb a substantial slice of construction financing and spare the parent company from issuing large volumes of new shares — a meaningful difference for existing holders.
That distinction cuts to the heart of the company's financing question. Chemical conversion plants of this scale demand capital far beyond Rock Tech's current cash position, and the C$5.31 million raised so far amounts to a buffer rather than a solution. Should the project-level equity participation in Guben fall through, the group would have few options beyond returning to the market for fresh capital — at current valuation levels, a move that would dilute long-standing shareholders sharply.

Ontario's Engineering Backbone Takes Shape
On the Canadian side, the technical groundwork is advancing. Siemens Canada has agreed to build a digital twin of the planned Red Rock converter and to support preparation of the definitive feasibility study. That collaboration follows a offtake agreement signed with Transamine roughly three weeks ago, which shored up the sales side of the business.
Rock Tech has also laid out its integrated mine-and-converter plans for Ontario in a virtual investor session, positioning Red Rock as the linchpin of a domestic supply chain. Alongside Thunder Bay Pulp and Paper, the company earned a Northern Innovators award for joint research into crude tall oil as a locally sourced flotation reagent.
A Sector That Won't Cooperate
None of this has insulated the stock from the macro tide. Lithium prices on the Chinese market slid to 126,350 CNY per tonne yesterday, a single-day drop of 5.11% that underscored weeks of pressure across the battery-metals complex. Reports pointing to revised calculation methods by industry body SMM, which lifted Chinese inventory estimates by 175,000 tonnes, added to the sense that supply is more comfortable than the market had assumed.
Rock Tech shares closed yesterday at EUR 0.3950, extending a year-to-date decline of 16%. The stock now trades at EUR 0.4030 with a market capitalization of EUR 54.90 million, sitting 49% below its 52-week high. The valuation already reflects persistent skepticism.
What Has to Break Right
Two milestones will determine whether the recovery case regains traction: tangible progress on the definitive feasibility study for Red Rock, and a binding agreement locking in the Guben project participation. Until both are delivered, the market has little basis for reassessing the company's true capital needs.
Execution risk in Ontario is real — a delayed or failed feasibility study would sap momentum from the Canadian pillar just as surely as a collapsed Guben deal would open a financing gap in Europe. For now, the industrial pieces are being assembled. Whether they interlock in time is the question investors are being asked to underwrite.
