Red Cat's Steyr Motors Bid: Fully Funded, Far From Done
Published on 10/19/2026 at 16:02 | Editorial boerse-global.deRed Cat has moved from reorganising its own house to shopping for someone else's. The company confirmed a cash offer for all outstanding shares of Steyr Motors on Wednesday, and the market's response was immediate: the stock extended its gain on the day to 9.4%. Yet the more instructive detail sits beneath the headline — a fully financed offer is not the same thing as a completed takeover, and the gap between the two is where the real story lies.
The terms on the table
The bid runs through SMOT Acquisition GmbH, a wholly owned Red Cat subsidiary, at EUR 39.00 per Steyr share. Red Cat says the offer is fully funded, which answers the question of financial backing. It does not answer the question of whether shareholders will tender or regulators will sign off.
That distinction matters more than the label of "expansion." A week or so ago, Red Cat was busy consolidating internally, folding Teal Drones and FlightWave Aerospace together under the newly created Red Cat Aerial banner. Buying Steyr outright is a different kind of move altogether, and it demands a different kind of proof. For Steyr, that proof begins with the transaction actually closing.
An anchor holder lends weight
One significant supporter is already on board. B&C Holding Österreich GmbH, which holds roughly 15% of Steyr, has irrevocably committed to tender its shares under the offer. That gives Red Cat a starting position — but not a winning one. The minimum acceptance threshold is 50% plus one share, and the anchor holder's stake alone falls well short of that bar.
Should investors sell immediately? Or is it worth buying Red Cat?
The commitment is neither a mere statement of intent nor a guarantee of completion. It binds a major shareholder to the offer while leaving the outcome dependent on how many other Steyr investors follow suit, and on the regulatory approvals still outstanding.
Two dates, two different milestones
Red Cat expects the acceptance period to close on 18 December 2026 at 17:00 CET. Completion of the transaction is anticipated in the first half of 2027. Those are separate procedural steps, not interchangeable markers — the end of the tender window should not be read as the closing of the deal, and the completion timeframe remains the company's expectation rather than a fixed date.
The stock's advance on the day tracks the announcement itself, not any change of ownership. Full financing clears one condition; it does not sweep away the remaining hurdles. What now matters is take-up of the offer and the regulatory green light.
Red Cat at a turning point? This analysis reveals what investors need to know now.
For anyone weighing the Red Cat equity story, the question is whether a funded bid turns into an executable acquisition. The anchor shareholder's pledge and the secured financing both support the effort. The acceptance threshold and the approvals remain the decisive tests. Wednesday's rally is a reaction to the opportunity — not a verdict on its success.
