Quantum eMotion's Plurilock Deal: Fixed Cash, Floating Stock and a C$2 Million Bridge
Published on 10/20/2026 at 03:40 | Editorial boerse-global.deQuantum eMotion has put concrete terms on paper for its acquisition of Plurilock Security, but the value Plurilock shareholders ultimately receive is only partly locked in. The agreement pairs a fixed cash amount with a set stock exchange ratio, which means the equity portion of the consideration moves with Quantum eMotion's share price. A signed deal, in other words, is not the same thing as a closed one.
What each Plurilock share is worth — for now
Under the arrangement, holders of Plurilock stock are set to receive C$0.084 in cash plus 0.0763 Quantum eMotion shares for each share they own. Quantum eMotion is the buyer and intends to take over all of Plurilock Security through a court-approved arrangement.
The two legs of the offer do different jobs. The cash figure is fixed per target share; the value of the shares on offer rises and falls with the market. A fixed exchange ratio therefore does not insulate the stock component from price swings.
When the transaction was announced on 28 September, Plurilock put the total consideration at roughly C$33.8 million, with about 30% to be paid in cash and 70% in Quantum eMotion stock. That split makes the equity leg the larger slice of the offer — which is why the headline figure alone doesn't tell the whole story. What matters for the economics of the deal is also how the shares being used as currency perform between now and closing.
Should investors sell immediately? Or is it worth buying Quantum eMotion?
A loan to keep the lights on until closing
Separate from what Plurilock shareholders are offered, the two companies agreed on financing to carry Plurilock through to completion. Quantum eMotion committed to lend Plurilock up to C$2,000,000 at an annual interest rate of 8.5%, according to the mandatory disclosure. This is a relationship between the two firms, not part of the per-share consideration, and investors should treat it as its own line item.
Filed with the SEC — but not yet done
Roughly a week ago, Quantum eMotion submitted the takeover agreement to the US Securities and Exchange Commission, together with documents on material changes and on voting and support arrangements. Those support agreements record the backing of certain Plurilock shareholders, but they do not stand in for the approvals the deal still needs.
Completion remains conditional on sign-off from shareholders, the court and the exchange, along with further regulatory clearances. Filing the contract paperwork is a distinct step from closing, and none of those conditions is satisfied by the filing itself.
November 2026 is the next marker
The parties expect a Plurilock shareholder vote in November 2026, with closing envisaged after that meeting and still subject to the approvals above. For investors, that vote is the next concrete checkpoint. Until it arrives, the agreed payment and financing terms are the yardstick — not an integration that has already happened.
