Deal Terms and Consideration Mix
Under the arranged plan, Plurilock shareholders will receive 0.084 C$ in cash plus 0.0763 Quantum eMotion shares for each share held. That works out to roughly 28 cents per Plurilock share, putting the cash portion at about 30% of the total consideration. Measured against Plurilock's 20-day volume-weighted average price of 14 cents as of September 25, the offer carries a premium of approximately 100%.
The overall transaction is valued at around C$33.8 million, with roughly 70% of the purchase price to be settled in Quantum eMotion stock and only about 30% in cash.
Completion hinges on several conditions. Beyond the required court approval, the deal needs the backing of shareholders at both companies. Once closed, Chief Executive Officer Francis Bellido is slated to lead the combined operation.
What Plurilock Brings to the Table
Management's rationale centers on market reach rather than technology alone. Plurilock is expected to hand Quantum eMotion existing revenue streams, an established customer base, and a functioning sales and delivery platform for commercial quantum and AI cybersecurity products.

Separately, the company's SKV Technology subsidiary announced on September 23 that it had received an official notice of allowance from the US Patent and Trademark Office for patent application number 18/819,165, which covers the company's SecureKey technology. Such a milestone brings the protection significantly closer to final grant, though administrative formalities remain.
Market Reaction and Share Price
The disclosure of the agreement and its embedded premium initially triggered selling. Following the announcement, the stock fell 9.5% and closed at EUR 1.54. According to media reports, the anticipated dilution from the substantial issuance of new shares, combined with profit-taking and broader market pressure, drove the pullback.
In today's session, the shares have steadied somewhat, trading at EUR 1.56 for a gain of 1.4%. Even so, the stock remains 61% below its 52-week high.
The episode highlights a familiar bind for smaller specialists: when liquidity is insufficient for an all-cash acquisition, existing shareholders end up footing the bill for external growth through newly issued stock. The valuation discount reflects that skepticism.

For Quantum eMotion, the task is to steer the transaction through every approval channel and convince the market that the added reach justifies diluting existing holdings.
