Quantum eMotion Buys Its Way Into Government Security Channels With C$33.8 Million Plurilock Deal

The Canadian quantum encryption specialist has struck an agreement to absorb Plurilock Security Inc. in a cash-and-stock transaction valued at roughly C$33.8 million, a move designed to hand it ready-made distribution into North American regulated industries and the NATO orbit.
Investors greeted the news with a sharp re-rating. The stock climbed 12% on European trading venues to EUR 1.90, building on a 1.1% advance in the prior session that left it at EUR 1.67. Over a week, the shares have added 22%.
Deal Terms
Under the arrangement, Plurilock shareholders will receive C$0.084 in cash plus 0.0763 Quantum eMotion shares for each share held — equivalent to C$0.28 per share in total consideration. That mix works out to roughly 30% cash and 70% equity, giving Plurilock investors both immediate liquidity and a stake in the combined company's future.
The offer represents an approximate 100% premium to Plurilock's 20-day volume-weighted average price on the TSX Venture Exchange through September 25.
To keep Plurilock's operations running through the approval period, Quantum eMotion is extending a bridge financing facility of up to C$2 million. The two sides also agreed to a mutual termination fee of C$1.5 million.

Ownership and Leadership
Once the deal closes, existing Quantum eMotion shareholders will retain about 95.97% of the combined entity, with former Plurilock holders owning roughly 4.03%. Francis Bellido will continue as Chief Executive Officer. Ian L. Paterson steps in as Executive Vice-President, with Veera Singh serving as Senior Vice-President.
What Quantum eMotion Is Actually Buying
Plurilock brings a cybersecurity services business built over 25 years, serving regulated sectors and government agencies across Canada and the United States. For Quantum eMotion, the appeal is straightforward: rather than spending years securing its own sales authorizations, it acquires established procurement channels. The integration will be managed through a joint 100-day plan combining pilot projects and direct sales efforts targeting priority customers.
Approvals Still Pending
The path to completion runs through several gates. Plurilock's board has already unanimously backed the agreement, supported by a fairness opinion from Paradigm Capital. Shareholders must still sign off, with a special meeting scheduled for November 2026 requiring at least a two-thirds majority of votes cast. Regulatory and court approvals are also required, along with clearance from the TSX Venture Exchange and NYSE American.
Certification Track Record
The acquisition lands alongside separate progress on the technology front. Quantum eMotion's eCore-Q entropy technology was submitted for NIST SP 800-90B validation roughly three weeks ago, and the stock has gained 28.4% since that filing. Meanwhile, the SecureKey module is moving through the FIPS 140-3 process. On September 23, subsidiary SKV Technology received a notice of allowance from the US Patent and Trademark Office for patent application number 18/819,165 covering SecureKey — a step that brings the application closer to formal protection, subject to administrative formalities.
Independent reviews, however, offer no guarantee on the timing of final certifications.
The Broader Picture
The flurry of announcements arrives against a bruising year for the stock, which is down 46% since January. Whether the Plurilock acquisition can rebuild investor confidence now rests largely on the remaining approval process and the November shareholder vote.
