Ondas Holdings Balances Two Takeovers and a Counter-Drone Order Book Against a November Reckoning

Ondas Holdings is asking investors to underwrite two separate acquisitions at once, and the market's reaction has been split. Shares climbed 19% on the Stemme news and 12% on the Aran clearance — two different sessions, two different deals, and two very different sets of remaining hurdles.

The German side of the story is the more ambitious. Ondas has signed a binding agreement to acquire 100% of Stemme GmbH, the German planemaker that builds the airframes for the ULTRA aircraft program. The company expects the deal to close in the first quarter of 2027, subject to customary closing conditions and regulatory approvals. Because Stemme supplies a specific component of the aircraft program, the logic of the transaction is easy to follow: owning a maker of central components lets Ondas align that work more tightly with its own projects.

That proximity to the product is what makes the deal interesting — and what makes execution the real test. Ownership opens options; their value depends on whether the operational side actually functions. The all-cash structure adds a second layer of scrutiny, since the question becomes how much financial room Ondas retains once the purchase is complete. The more ambitious the build-out, the more important that balance becomes.

A regulatory green light in Israel, with conditions still outstanding

The Aran transaction sits at a different stage. Ondas is buying Aran's product development and manufacturing activities, and the Israeli competition authority has now granted approval — a significant suspensive condition cleared. The agreements were signed on 18 August. Other conditions remain open, so anyone who likes the expansion of the development and manufacturing base still has to price in the residual closing risk.

Should investors sell immediately? Or is it worth buying Ondas Holdings?

The scope matters here. Aran is selling its product development and manufacturing activities, while software, IT and engineering services, the 3D printing business, plastics equipment and raw materials, recycling and waste separation equipment, and investments in medical technology start-ups stay with the seller. What Ondas actually gets is the development work and manufacturing processes — and how concretely those can be tied to its own needs will determine whether the purchase strengthens execution.

Counter-drone orders provide the commercial backdrop

Both deals land against a live order flow. Ondas announced contracts in the millions of dollars from a large European police organisation and an Asian government customer. The European buyer ordered portable Ranger systems; the Asian customer ordered Iron Drone Raider systems for autonomous drone defence, including operation without an active radio link.

Those orders speak to demand for the systems, and the different customers show concrete use cases. What they do not yet show is timing or scale: order values and delivery dates were not disclosed. Anyone hoping to connect the Aran capabilities to this demand would first need a confirmed link between the two.

The November print becomes the common denominator

Ondas plans to report third-quarter 2026 results on 12 November 2026 and to hold a conference call. That date now serves as the next real checkpoint for both expansion plans. Investors will want to see how the existing business is developing, and management will have a chance to lay out its priorities — ideally showing how business development, financial resilience and execution fit together.

Weighing it all up, the Stemme plan is a strategically coherent step with demanding conditions attached, and its economic viability will be measured against closing, integration and the numbers. The Aran purchase, now past one regulatory gate, remains an expansion still to be completed. The next hard catalyst on that front would be a confirmed announcement of closing, followed by specifics on how the acquired development and manufacturing activities are put to work. Until then, the sensible stance is to judge expectations against confirmed procedural milestones rather than headlines.
