Ocugen's autumn is shaping up as a tug-of-war between the laboratory and the courtroom — and right now the legal side is winning. Shares of the biotech fell 6.2% today to EUR 0.9000, dragging the stock back toward its 52-week low of EUR 0.8400, after a federal district court agreed to re-examine allegations that management misled investors about its financial outlook.

That renewed shareholder litigation is more than a nuisance filing. Revived class-action claims tie up management time, threaten meaningful legal costs, and — most damaging of all — chip away at confidence in the company's financial communications. Investors need to trust that guidance is built to last, and the fact that this dispute is back before a judge carries real weight.

A science-heavy October, with one date that matters more

While the legal clouds gather, Ocugen is pressing ahead on the research front. The company has lined up appearances at three major industry gatherings to showcase its modifier gene therapy platform. The run began today with the EIS in Vienna, followed immediately by presentations at the 26th EURETINA Congress from October 1 to 4, covering geographic atrophy and Stargardt disease.

Next comes the American Academy of Ophthalmology meeting in New Orleans from October 9 to 12, where twelve-month safety and efficacy data from the Phase 2 ArMaDa trial for OCU410 will take center stage. Data from the Phase 1 GARDian1 study for OCU410ST are also on the agenda, alongside three-year visual function results for OCU400 in retinitis pigmentosa.

Should investors sell immediately? Or is it worth buying Ocugen?

CEO Shankar Musunuri is doing his own rounds as well. He joins a panel at H.C. Wainwright on October 1 and speaks at the Cell & Gene Meeting on the Mesa on October 6.

It is a formidable slate of scientific engagements — but conference slides do not pay for Phase 3 trials. The pivotal readouts for lead candidate OCU400 are not expected until the first quarter of 2027, with a regulatory filing targeted for the second quarter of that year. Until then, the program has to be financed.

The vote that outweighs every podium

That funding question comes to a head on October 5, when shareholders reconvene for a postponed vote on creating 250 million new common shares. Management failed to secure enough support at the extraordinary meeting roughly a week ago, forcing the adjournment. For the company's future flexibility and capital base, that rescheduled ballot matters far more than any conference presentation.

The financing strain is visible in the numbers. HC Wainwright nudged its full-year 2026 EPS estimate to a loss of USD 0.27 per share from USD 0.28 on Monday, though the market consensus sits at a narrower USD 0.25 loss. The same analyst house expects deficits of USD 0.32 per share in 2027 and USD 0.39 in 2028, with profitability only arriving in fiscal 2030 at USD 0.99 per share. Ocugen also missed expectations last quarter, posting a loss of USD 0.07 per share against a forecast of USD 0.05 — a reminder that operations continue to burn cash reliably.

Two clocks running at different speeds

What makes this moment unusual is the sheer simultaneity of it all. On one track, Ocugen is courting ophthalmologists and scientists with biological mechanisms and clinical data. On the other, it must convince its own owners to hand it more room to issue stock — or watch its financial runway come under pressure.

The stock's muted reaction to the scientific news tells its own story: shares added just 0.6% on a day when the conference schedule was announced, and they remain down 23% since the start of the year. Clinical progress is real, but it unfolds over years, while the bills for Phase 3 arrive on a much shorter timetable. Until the litigation is resolved and the share authorization is settled, data alone is unlikely to deliver a durable turn in sentiment. For now, the risks hold the upper hand.
