Nvidia is simultaneously reshaping its technology stack and managing the optics of a steady stream of share sales from its executive ranks. A regulatory filing has revealed a multi-billion-dollar acquisition in the open-source AI space, while the chipmaker continues to build out its quantum computing software and return vast sums of capital to shareholders.

A $12.93 Billion Bet on Open-Source AI

At the heart of Nvidia's strategic agenda sits the planned takeover of Hugging Face, one of the world's leading developer platforms for AI models and datasets. According to a mandatory disclosure to the U.S. Securities and Exchange Commission, the total value of the agreement comes to $12.93 billion. The package breaks down into $11.9 billion in cash plus up to $1 billion in stock-based compensation earmarked for employee retention.

The deal hands the chipmaker direct access to a community and infrastructure that sits at the center of open-source AI development. Nvidia expects the transaction to close in the first half of 2027.

Building a Bridge to Fault-Tolerant Quantum Computing

Alongside its expansion in AI, Nvidia is pushing deeper into next-generation computing architectures. On September 14, the company announced an expansion of its open CUDA-Q platform with the addition of a new layer called CUDA-Q Logical. The tool functions as an orchestration layer for fault-tolerant quantum computing, designed to close the gap between classical high-performance computers and future quantum systems. The goal is to let developers program both types of hardware in parallel.

Insiders Lighten Holdings — But on a Schedule

Executive-level selling has drawn attention in recent weeks. SEC filings and media reports show that insider disposals have totaled roughly $946.63 million since August 31. Among those trimming positions were CEO Jensen Huang and CFO Colette Kress.

On September 18, Huang and four other executives reported the sale of approximately 150,000 shares to the SEC. Huang alone accounted for about 46,000 shares at a price of roughly $212 each. Executive Vice President, General Counsel and Secretary Timothy S. Teter also sold 30,460 shares on a Monday, a transaction worth $6,786,533. While such sales are a routine part of wealth planning for U.S. executives, they tend to attract investor scrutiny nonetheless.

Buybacks and Dividends Provide the Counterweight

Against that backdrop, Nvidia's corporate-level capital policy tells a different story. In the second quarter of fiscal 2027 alone, the company returned $26.0 billion to shareholders through buybacks and dividends. Roughly $99.0 billion remains available under its existing repurchase authorization.

The next payout is imminent: on October 1, Nvidia will distribute a quarterly dividend of $0.25 per share, with the record date already set at September 10. The scale of these measures underscores the company's ample liquidity and its capacity to support the market even as executives reduce their personal stakes.

Analyst Optimism and a High-Margin Backdrop

Sentiment on the fundamental side remains constructive. Piper Sandler initiated coverage of the stock on September 10 with an "Overweight" rating and a $300 price target, signaling confidence in further medium-term gains.

Operationally, Nvidia stays highly profitable. Revenue in the second quarter of fiscal 2027 jumped to $96.2 billion, accompanied by a gross margin of 75.0%. For the current third quarter, management is targeting revenue of $108.0 billion, allowing for a variance of two percentage points. The new Vera Rubin generation is ramping toward series production and is being integrated into infrastructure by partners including CoreWeave, Google Cloud, Microsoft Azure, Oracle Cloud and Nebius.

Market Reaction Muted

Trading has shown little disruption from the insider activity. In pre-market action the stock changed hands at €196.98, down 0.6%, leaving it just 2.7% below its 52-week high of May 14. In the latest session, the shares stood at €195.24, a decline of 1.4%, putting the price roughly 3.6% under that peak.
