The Frankfurt-listed company posted a second-quarter 2026 revenue figure that would have been unthinkable twelve months earlier, yet the numbers were overshadowed by a writedown that erased any sense of progress.

Revenue came in at roughly EUR 54 million for the quarter, a staggering leap from the EUR 0.6 million recorded in the same period of the previous year. Adjusted EBITDA reached approximately EUR 23 million, reflecting the operational traction the company has found in its cloud and AI infrastructure push. GPU utilisation of around 85 percent had already hinted at the strength of demand in this segment earlier in the year.

The problem lies elsewhere. A non-cash impairment of EUR 251 million has hammered the bottom line, tied directly to the conditional consideration from the sale of the Peak Mining business. The fair value of that receivable has collapsed from EUR 271 million at the end of 2025 to just EUR 20 million as of June 30.

What Triggered the Writedown

Northern Data pointed to a combination of factors behind the dramatic reassessment. Expectations around future payment streams shifted as Bitcoin market prices moved, but that was only part of the story. A purchase option expired, and the buyer of Peak Mining indicated it no longer intended to sell the Corpus Christi sites in the near term. Those changed circumstances forced the company to slash its projected proceeds from the transaction.

The market response was immediate. Shares traded at EUR 6.10 on Monday, down 21.29 percent, extending the year-to-date decline to 60.49 percent. A Company in Transition

The writedown lands at a moment of profound structural change. Rumble Inc. completed its acquisition of an 85.2 percent majority stake in Northern Data on June 17, in a deal valued at roughly USD 820 million. Co-CEO Aroosh Thillainathan stepped down the same day. The new ownership structure has since reshaped the company's capital base, with major shareholders including Tether Inc. and Apeiron Investment Group selling their positions to the US acquirer.

The integration into Rumble's ecosystem is visible in the details. Dr. Tom Oliver Schorling, a director, exchanged 20,770 Northern Data shares for more than 42,123 newly issued Rumble Class A common shares in late June — a transaction that underscores the shift in corporate allegiance.

Northern Data now operates within the newly formed RUM Group, alongside Rumble Cloud under the Quake AI business segment, which focuses on cloud and AI infrastructure. The company's cash position tells its own story: EUR 40 million on hand at the end of June, down from EUR 58 million at the close of the first quarter.

What Comes Next

The corporate calendar is packed. Board-level changes were announced in mid-July, shortly after Rumble confirmed the successful completion of its exchange offer. Trading on the Munich stock exchange reportedly ended in late July, narrowing the venues where investors can trade the shares.

All eyes now turn to August 25, when Northern Data convenes its ordinary general meeting. The virtual gathering is expected to provide shareholders with more detail on the company's role within the Quake AI structure and governance under Rumble's control. For a company that has traded at a 53.59 percent loss since the start of the year, the meeting represents an opportunity to articulate how the operational growth story can eventually outweigh the balance-sheet adjustments that have so far defined 2026.
