NN Group Raises Lenzing Stake to 4.27% as B&C-Suzano Syndicate Retains 52.25% Grip
Published on 10/28/2026 at 03:01 | Editorial boerse-global.deVienna — NN Group has lifted its voting interest in Lenzing to 4.27%, up from 2.54% previously, according to a disclosure filed with the Austrian fibre maker. The Dutch insurer crossed the threshold on Friday, with the notification reaching Lenzing yesterday. The stake consists entirely of shares — no financial instruments are attached — a distinction that matters for investors tracking how the position is constructed.
The move does nothing to alter the balance of power at the top of the register. A separate notification published the same day confirmed that the syndicate of B&C companies and Suzano International Trade still commands 52.25% of voting rights following the recently completed capital increase. Within that bloc, B&C KB Holding accounts for roughly 24.99%, Suzano International Trade for about 12.60%, and the B&C Privatstiftung for 9.99%.
A Separate Suzano Position, Kept Outside the Pact
One detail in the filings deserves careful reading: Suzano Holding S.A., which is not a member of the syndicate, picked up additional shares equivalent to around 0.80% of voting rights. That holding is expressly not attributed to the syndicate and should not be conflated with Suzano International Trade's 12.60% share — the two entities appear in the disclosure under different classifications.
Should investors sell immediately? Or is it worth buying Lenzing?
The total share count rose to 73,374,542 following registration of the capital increase about a week ago. Lenzing issued 34,756,362 new shares at EUR 8.65 apiece, generating gross proceeds of roughly EUR 301.2 million. Shareholders subscribed for 34,411,626 of them, an exercise ratio of 99.0%, with the consortium banks placing the remainder on the market.
Proceeds are earmarked for debt reduction, servicing future financial obligations and funding the company's transformation. Management participation underscored the confidence signal: supervisory board members Georg Kasperkovitz and Christian Skilich both bought into the rights issue, with Kasperkovitz's purchase disclosed yesterday and Skilich's filed last Friday. A further notification yesterday revealed that B&C KB Holding GmbH — closely linked to supervisory board member Patrick Lackenbucher — pledged Lenzing shares on Friday, a transaction the filing describes as a pledge.
What the Filing Does and Does Not Signal
Taken together, the disclosures answer an ownership question rather than an operational one. NN Group's larger footprint sits alongside an unchanged majority bloc, so no shift in control can be inferred. A rising stake in the hands of a single investor is not, by itself, evidence of underlying business progress; how Lenzing deploys the fresh capital for its stated purposes remains the yardstick for the economic story.
The shares reflected the day's news flow with a 5.1% decline yesterday. Lenzing has flagged 5 November 2026 as the date for publication of its third-quarter 2026 results.
