Nel ASA has structured the incentive package for its incoming chief executive around a mix of cash and stock, a detail that sits alongside — rather than answers — the harder question of whether the hydrogen specialist can convert a surging order book into actual revenue. Morten Holum's package carries a value of NOK 5 million, split between NOK 2 million in cash and NOK 3 million in restricted stock units. The equity portion links part of the award to Nel shares, though it implies neither an operating target nor any guarantee of success.

Holum is slated to take the top job no later than May 1, 2027, succeeding Håkon Volldal. Bridging the gap, Nel has named finance chief Kjell Christian Bjørnsen as interim CEO and former VP Finance Torbjørn Berg as interim CFO. That arrangement settles who holds the reins for now, but it is a separate matter from the commercial reckoning facing the company.

Two signals pulling in opposite directions

The figures already published for the third quarter of 2026 lay out the tension. Revenue from customer contracts fell 63% year on year to NOK 112 million. Total revenue and other income reached NOK 138 million, while EBITDA came in at minus NOK 93 million and the net loss at NOK 141 million. The shortfall is not confined to the top line — Nel also has to narrow its losses.

Should investors sell immediately? Or is it worth buying Nel ASA?

Against that, order intake climbed 339% year on year to NOK 253 million, and the order backlog stood at NOK 1,314 million. New business is clearly being won. What the reported results do not yet show is that demand translating into a recovery in billings. An order is not a substitute for revenue or for a better operating result; the backlog describes work still to be delivered, not income already earned.

A US contract that illustrates the timing gap

Nel Hydrogen US offers a concrete case. An unnamed global technology group headquartered in the United States ordered containerized PEM electrolyzers along with associated services. The contract is worth roughly USD 12 million, with delivery expected in 2027. The order supports the outlook for future shipments, but it does not justify assuming an immediate improvement in current trading — nor does its value alone reveal what margin Nel will ultimately earn on it.

For investors, the yardstick is therefore less about how the pay package is composed and more about execution: orders have to become revenue while losses are contained. The leadership change on its own lifts neither sales nor EBITDA. Progress will be measured by whether the existing backlog turns into more business and whether the operating result improves alongside it — a combination that would go beyond a pure sales win.
