The mechanics of corporate finance rarely make headlines, but Nebius has just executed a move that quietly reshapes its capital structure while the market fixates on the company's headline-grabbing convertible bond sale.

Alongside its blockbuster private placement of convertible notes, the AI infrastructure specialist struck side deals with certain bondholders to convert $800 million of debt into roughly 15.8 million Class A shares. The transaction effectively fast-tracks what would otherwise be a future conversion event, swapping fixed interest obligations for equity exposure in the company.

A financing week for the record books

The debt-for-equity exchange ran parallel to the convertible issuance that closed over the weekend, which pulled in gross proceeds of approximately $5.75 billion — comfortably exceeding the already-upsized $5.0 billion target. Reuters characterized the deal as one of the largest of its kind ever executed, pointing to sustained appetite for AI compute and data center capacity even as sector-wide financing sentiment has grown cautious.

Shareholders subsequently waved through all 16 resolutions on the agenda at the annual general meeting, including authorizations for future share issuance and buybacks. Management now has a fully stocked capital toolkit and, arguably more importantly, no pressing need to return to markets for fresh funding in the foreseeable future.

The dilution dilemma

For existing investors, the $800 million conversion is a double-edged instrument. On one hand, it trims future interest expenses and reduces the debt load sitting on the balance sheet. On the other, it distributes future earnings across a larger share count — a drag on per-share value unless growth keeps pace.

Should investors sell immediately? Or is it worth buying Nebius?

The roughly 15.8 million newly issued Class A shares meaningfully increase the total outstanding float without adding a cent of cash to the company's coffers. Bondholders, for their part, are trading a guaranteed coupon for exposure to the company's equity upside — a signal that at least some creditors see further appreciation ahead.

Pricing power versus chart pain

The market's reaction to the financing blitz has been decidedly mixed. On Friday, the stock shed 3.6 percent to close at €180.72, leaving the shares roughly 4.8 percent below their 50-day moving average. The near-term technical picture has deteriorated since the capital measures were announced, even though the equity remains dramatically higher on a year-over-year basis.

Zoom out further and the recent slide looks steeper still. Since the second-quarter results landed about two weeks ago, the stock has dropped 24.6 percent; going back to Goldman Sachs's price-target hike roughly three weeks prior, the decline measures 18.4 percent. The company's annualized 30-day volatility sits at a hair-raising 172 percent, meaning every data point — good or bad — moves the stock disproportionately. The relative strength index at 47.1 suggests neither overbought nor oversold conditions, but rather a market that has yet to find its footing.

Fundamentals tell a different story

Beneath the choppy price action, the operating picture that emerged from the earnings report deserves closer scrutiny. Nebius disclosed the results of its first capacity auction for medium-term contracts, and the outcome was striking: the auction cleared at a price 15 percent above any previously calculated rate and 20 percent above the current pipeline pricing for Blackwell chips.

That kind of pricing power in a competitive compute market suggests demand for Nebius capacity is outstripping supply — a more telling indicator, arguably, than revenue growth alone. Management also indicated during the earnings call that customer prepayments for full-year 2026 are tracking toward roughly $9 billion, with 70 percent of deals closed during the quarter including prepayment components. Customers who pay upfront rather than upon delivery are effectively voting with their balance sheets for access to scarce, sought-after capacity.

Revenue for the second quarter came in at $582.3 million, with a loss of $0.12 per share. The red ink is hardly surprising for a company in the middle of a capital-intensive infrastructure build-out; the durability of demand is the metric that matters more.

Nebius at a turning point? This analysis reveals what investors need to know now.

Sector tailwinds, company-specific questions

Some support arrived from the broader tape on Thursday, when a strong outlook from Nvidia triggered a rally across AI-related names. Reuters noted that Nebius and rival CoreWeave both benefited from the sector-wide bid. Such impulses can provide short-term relief, but they do little to resolve the company-specific questions around capital structure and dilution that the recent equity swap has put in focus.

The strategic logic of the financing package is clear: Nebius now has the balance sheet firepower to execute its data center expansion and AI service ambitions without constant recourse to markets. The debt-for-equity exchange reduces the interest burden and simplifies the liability side of the ledger. The trade-off is a larger share count and the implicit acknowledgment that creditors see enough upside to accept equity risk.

Whether the company converts its pricing power and prepayment momentum into durable market share gains will only become clear over the coming quarters. The building blocks, however, look more solid than the recent chart suggests.
