Mutares Portfolio Moves at Three Speeds Ahead of November 12 Q3 Report
Published on 10/22/2026 at 07:31 | Editorial boerse-global.deThree portfolio developments at Mutares are advancing at markedly different speeds, and conflating them could lead investors astray. A completed acquisition, a sale whose terms have been agreed but not signed, and an exit that remains under study each carry a distinct procedural status — a distinction that matters more than the headline count of deal announcements. The next fixed date for financial context is November 12, 2026, when the company publishes its third-quarter 2026 report.
Natura: Terms Agreed, Contract Still to Come
On the Polish drugstore chain Natura, Mutares has signed an agreement on the essential terms of a sale to Grupa Kapita?owa Specja?. That is a step forward from a mere letter of intent, but it is not the share purchase agreement itself, and it is certainly not completion. According to the company, both the signing of the purchase contract and the closing are targeted for the fourth quarter of 2026.
A regulatory condition also hangs over the transaction: Poland's competition authority, UOKiK, must clear the deal. Investors should therefore not treat the planned disposal as a done divestment. The next meaningful milestone would be the shift from agreed cornerstones to a signed contract, and then to closing.
The market welcomed the sale plans. dpa-AFX attributed Tuesday's share price gain to the Natura announcement — a reaction that underscores how much weight investors place on the news, without altering the fact that completion is still outstanding.

Nord Gas: Operating Numbers and Exit Review Kept Apart
At Nord Gas Solutions, business performance and possible divestment routes sit side by side. Roughly a week ago, Mutares guided for 2026 revenue of more than EUR 575 million and adjusted EBITDA of around EUR 50 million. Those are forecasts, not reported full-year results.
The figures released for the first nine months of 2026 provide the operating backdrop: around EUR 459 million in revenue and EUR 43 million in adjusted EBITDA. Alongside this, Mutares is working with financial advisers to examine strategic exit options, including a possible stock market listing in the Nordic countries. That is an option under review, not a confirmed decision on any particular route.
A record order backlog of EUR 880 million forms part of the operating starting position for that review, though it does not substitute for a transaction decision. Investors should separate the subsidiary's business outlook from the question of whether — and in what form — Mutares ultimately executes an exit.

Steinmüller: The Completed Counterweight
Steinmüller Engineering sits at a different stage entirely. Acquired from IHI Corporation, the business is assigned to the Energy & Technology segment as a platform investment. Here the question is no longer whether to examine or prepare a purchase — the takeover is done.
Taken together, the picture is nuanced: one acquisition closed, one sale prepared, and a further exit option still under evaluation. For investors, the key question with each new announcement is which of these projects actually reaches its next binding stage. Until the quarterly report arrives, that separation of status remains the yardstick — a completed purchase, planned sale steps and strategic possibilities must not be treated as equally far advanced. What counts in valuing Mutares is not the volume of portfolio news alone, but how far each item has actually progressed.
