Mutares Maps Nordic Exit for Nord Gas Solutions While Adding Energy Engineering Platform
Published on 10/19/2026 at 14:21 | Editorial boerse-global.deMutares is weighing a possible stock market listing of its subsidiary Nord Gas Solutions in Northern Europe, the Munich-based holding company said on Wednesday, confirming that it is working alongside financial advisers to sound out strategic exit options for the business. No final decision has been reached on the matter, according to media reports, and should a flotation go ahead Mutares intends to remain a significant shareholder, subject to customary lock-up arrangements.
The disclosure lands alongside a burst of portfolio activity that has seen the group add a thermal process engineering specialist to its Energy & Technology segment and edge closer to a sale of the Lapeyre Group. That incoming platform investment, acquired through a share deal, brings roughly 170 employees into the fold and generated total output of close to EUR 100 million in its most recent financial year. Mutares frames such purchases as a way to steady established businesses in periods of upheaval and set them on a new course, with the integration expected to reinforce its energy engineering operations and open up synergies with existing holdings.
Nine-Month Surge Underpins Exit Calculus
The rationale for testing the waters on Nord Gas Solutions is a sharp acceleration in the unit's trading. Revenue over the first nine months of 2026 came in at about EUR 459 million, up from EUR 283 million a year earlier, while adjusted earnings before interest, taxes, depreciation and amortisation climbed to EUR 43 million from EUR 20 million. The order backlog stood at EUR 880 million as of 30 September 2026.
Should investors sell immediately? Or is it worth buying Mutares?
Those figures feed directly into full-year guidance: Mutares is projecting revenue above EUR 575 million for Nord Gas Solutions in 2026, together with adjusted EBITDA of around EUR 50 million. News of the numbers and the announced exit review lifted the parent company's shares by as much as 5 per cent at one point on Wednesday, according to dpa-AFX. The stock closed Friday's session at EUR 24.90.
Lapeyre Offer and a Bond Buyback
On the disposal side, an investment vehicle backed by Italian entrepreneurs tabled an irrevocable offer roughly two weeks ago for a controlling stake in the French Lapeyre Group, with Mutares set to retain a minority holding. Completion is pencilled in for the fourth quarter of 2026 and remains conditional on the usual consultation with employee representatives.
The group has also been active on the financing front. In a partial repurchase of its variable-rate bond settled about two weeks ago, Mutares took back notes with a nominal value of EUR 10.4 million and plans to refinance the remaining EUR 222 million in the second half of the fourth quarter of 2026. Proceeds from successful disposals or listings are central to the model: selling thriving units funnels cash back to the holding company, which can then be channelled into fresh restructuring cases.
Market Still to Be Convinced
Equity investors have yet to warm to the story. The Mutares share has shed 17 per cent since the start of the year, leaving the company with a market capitalisation of EUR 635.32 million. A fuller picture of the group's financial health and the progress of its turnaround cases will emerge on 12 November 2026, when Mutares publishes its quarterly statement for the third quarter of 2026.
