The Munich-based holding company has spent the past several weeks converting signed agreements into completed transactions at a remarkable clip. On 2 September, Mutares closed the acquisitions of TREPEL Airport Equipment and MAFI Transport-Systeme from NDW Maschinenbau Holding — deals that had been under contract since early June. Just days earlier, on 1 September, the group announced it had sealed the purchase of AmeriTerpenes LLC from Symrise, a carve-out that hands Mutares a foothold in the US market for terpene ingredients used across flavours, fragrances and industrial chemicals.

That US expansion slots directly into Mutares' newly created Chemicals & Materials segment, which is rapidly taking shape. The division's anchor is NexPoint Materials, the rebranded engineering thermoplastics business acquired from SABIC for roughly US$450 million — the largest single acquisition in the company's history, employing around 2,800 people across eight sites. The AmeriTerpenes deal, whose purchase price was not disclosed, is expected to generate a mid-double-digit million-euro divestment loss for Symrise.

The automotive side of the portfolio has also been busy. On 5 August, Mutares completed the takeover of Car Top Systems (CTS) from Magna, a business specialising in roof and aerodynamic kinematics systems with annual revenues of approximately €75 million. CTS has been folded into the HILO Group within the Automotive & Mobility segment.

These recent completions form part of a far broader wave of activity that has defined Mutares' year. The first half alone brought the acquisitions of Gas Solutions from Wärtsilä and Czech-based Synthomer a.s., alongside agreements to buy Stellantis' car-sharing operation Free2move — active in 14 European and US cities, with completion expected by year-end pending merger control clearance — and to sell the NEM Energy Group to Hyundai Heavy Industries Power Systems, a disposal slated to close in the third quarter. On the exit side, the company has already offloaded Kalzip, the inTime Group and Peugeot Motocycles.

The operational arithmetic of this relentless repositioning is visible in the interim figures. Group revenue climbed 9 percent to €3.4 billion in the first half, while adjusted EBITDA swung from a negative €89 million a year earlier to a positive €67 million. Management has held its full-year guidance, projecting group revenue between €7.9 billion and €9.1 billion. On the holding-level net result, the two outlooks differ slightly: one statement cites a range of €165 million to €200 million, while another puts it at €108 million to €132 million.

What the numbers have not yet done is convince the equity market. The shares closed at €25.40 on Tuesday, roughly 28 percent below the 52-week high of €35.15 touched in mid-January, and the stock has shed about 16 percent since the start of the year. Over the past week alone, the shares gave up 2.1 percent. Investors appear to be weighing the financing burden of so many simultaneous transactions — including a capital increase of up to €105 million carried out in April — against the promise of an operational turnaround that has yet to translate into sustained share-price momentum.

Mutares has sought to address shareholder concerns on multiple fronts. At the annual general meeting in July, the company committed to a minimum dividend of €2.00 per share for fiscal 2025. Looking ahead, the third-quarter report is due on 12 November, followed a week later by an investor day in London. Whether the combination of completed acquisitions, ongoing portfolio pruning and a reaffirmed outlook will shift sentiment remains an open question — one that may well be answered by the pending completion of the NEM Energy and Free2move transactions.
